Advanced Semiconductor Engineering to Acquire ASE Test in Going-Private Transaction
Davis Polk & Wardwell is advising Advanced Semiconductor Engineering, Inc. in connection with its acquisition of ASE Test Limited in a going-private transaction. Advanced Semiconductor Engineering, based in Taiwan, is one of the world’s largest independent providers of integrated circuit-packaging services and, together with its approximately 51%-owned subsidiary ASE Test, the world’s largest independent provider of integrated circuit-testing services, including front-end engineering test, wafer probe and final test services.

According to the terms of the proposed acquisition, ASE Test ordinary shares listed on the NASDAQ Stock Market will be acquired for $14.78 per share in cash, and ASE Test Taiwan depositary shares listed on the Taiwan Stock Exchange will be acquired for $0.185 (based on the prevailing exchange rate) per share in cash. The proposed acquisition is valued at approximately $784 million.

The proposed acquisition was unanimously approved by the board of directors of Advanced Semiconductor Engineering and the independent directors of ASE Test (based on the recommendation of the special committee comprised of independent directors formed for the purpose of evaluating the proposed acquisition). Subject to the satisfaction of customary closing conditions and the approval of ASE Test’s shareholders who are not affiliated with Advanced Semiconductor Engineering, the proposed acquisition is expected to close in December 2007.

The Davis Polk corporate team includes partner Show-Mao Chen, counsel Mark J. Lehmkuhler and associates Miranda So, Zhan Chen and Allan C. Lai (not yet admitted), all of the Hong Kong office. Partner John D. Paton and associate Brian Radigan, both of the London office, are providing tax advice.

Paul Hastings Adds Jeffrey Rheeling in Chicago
Paul, Hastings, Janofsky & Walker LLP, a leading international law firm, announced today that Jeffrey S. Rheeling, previously at Katten, Muchin, Rosenman LLP, has joined the firm’s Real Estate Department as of counsel, resident in the Chicago office. Rheeling’s practice focuses on complex real estate transactions including sales and dispositions, tax-deferred exchanges, development, financing, leasing and joint ventures.

“The real estate market continues to be characterized by rapid growth and increasingly complex transactions,” said Philip Feder Real Estate Department Chair. “These conditions require lawyers with the ability to handle the most sophisticated transactions. Jeff’s arrival will add even greater depth to our service offerings, particularly through his complex financing capabilities.”

So far this year, Paul Hastings' Real Estate Department has seen the addition of partners Daniel Perlman, Brad Ritter and Greg Spitzer in Chicago. In recent months, our Real Estate team has navigated a number of significant transactions including:

* Serving as legal counsel to Dubai World in its joint venture in the Las Vegas CityCenter, an estimated [$7.4 billion] mixed-use luxury residential and resort complex currently being developed by MGM MIRAGE on the Las Vegas Strip.
* Advising Citigroup Property Investors (CPI), the real estate investment business of Citigroup Inc., in the formation and final closing of a $1.29 billion fund to invest in real estate and related assets in the Asia-Pacific region
* Representing Marathon Asset Management, a hedge fund and investment management firm, in its agreement with the executive management of Reckson Associates to acquire the assets of a Reckson Associates Realty Corp. real estate portfolio from SL Green Realty Corp. The transaction is valued at $2.1 billion.

Rheeling’s experience includes the representations of public and privately-traded real estate investment trusts (REITs) in connection with acquisition, financing and development of retail, residential and office properties. He received his J.D. from the University of Wisconsin Law School.

Fulbright’s Pike Powers Honored For Hi-Tech Contributions to Central Texas
Pike Powers, a partner since 1978 when he opened Fulbright’s Austin location, was recently honored at the IEEE International Engineering Management Conference as a visionary whose individual contributions have enhanced Central Texas’ reputation as a technology center and fostered venture funding, business development and job creation in the area.

AustinA former chairman of the Board of the Austin Chamber of Commerce, Powers is credited with encouraging growth of the region’s hi-tech, information and entrepreneurial economy by creating a vibrant business, civic and philanthropic network. In the 1980s and on, his efforts deepened the area’s technical talent pool and brought important hi-tech consortia to Austin, such as MCC, the Microelectronics & Computer Technology Corp. and SEMATECH. In addition, Powers helped recruit to the area such hi-tech employers as 3M in 1984, Applied Materials in 1991, and Samsung Electronics’ second chip factory, which recently opened in Northeast Austin.

Recently dubbed "perhaps the leading rainmaker for Central Texas, a catalytic force in helping build the region’s high tech foundation" by the Austin American-Statesman, Powers now serves as a top strategist for the Texas Alliance for Nanoelectronics, a group of colleges, research institutions, and high tech companies committed to collaborating on advanced research efforts.

In addition, Powers was a key strategist and crucial backer of Governor Perry’s Texas Enterprise Fund and the Texas Emerging Technology Fund. Formerly, Powers served as Executive Assistant to Governor Mark White in 1983. From 1972 to 1979, he represented Jefferson County in the Texas House of Representatives.

As an attorney, Powers has extensive experience handling complex legal and political issues before state courts and federal courts, as well as federal and state agencies. He is a member of the Maritime Law Association of the United States, the Federation of Insurance and Corporate Counsel and the National Association of Railroad Trial Counsel. He has served as a member of the Board of Directors of the State Bar of Texas and has held various posts in the American Bar Association and in the Texas and American Bar Foundations.

Patton Boggs LLP Donates Over 60 Backpacks and School Supplies To Homeless Children in the City of Newark
The New Jersey office of Patton Boggs LLP recently donated over 60 backpacks filled with school supplies to Bridges Outreach, Inc., a nonprofit organization for the homeless community, for distribution to children living in homeless shelters in the City of Newark.

During the month of August, attorneys and staff helped raise over $1,000 by wearing jeans to work

every Friday for the firm’s first annual Back-To-School Backpack Drive. All of the proceeds from “Jeans Fridays” went toward purchasing backpacks and school supplies such as notebooks, pencils, crayons, rulers, and folders.

“We are pleased to have had the opportunity to assist students in our community by participating in the backpack and school supply initiative. All of us at Patton Boggs are committed to supporting worthwhile efforts in the City of Newark,” said John McGahren, New Jersey Managing Partner.

Bridges Outreach, Inc. creates opportunities for people of all ages to make a difference in the life of homeless friends while enriching their own in countless ways. The organization forms relationships between the housed and homeless that is founded on mutual dignity and respect. Bridges Outreach, Inc. includes over 1,500 kind and caring volunteers delivering over 75,000 brown -bagged lunches, clothing and toiletries donations as well as other necessities each year.

“The donation from Patton Boggs will help Bridges Outreach, Inc. reach over 100 children. Not only will these children have basic necessities for the school year provided to them, but on an emotional level, they will fit in with their classmates and eliminate any anxiety about feeling different because they don’t have those necessities. Their parents will also benefit from the donation because they will know we helped them take care of their children’s needs,” said Lois Bhatt, Executive Director for Bridges Outreach, Inc.

Ratos finances acquisition of AH Industries
Mannheimer Swartling has assisted Ratos AB (publ) in connection with the financing of the acquisition of 66 % of the Danish company AH Industries, which supplies components and services to customers in the wind power, marine and offshore industry.

Zoran Stambolovski was the partner in charge, assisted by Hans Abrahamsson and local counsel in Denmark.

Client Demand Drives Jackson Lewis's Aggressive National Expansion
Continuing its national expansion, Jackson Lewis LLP, one of the country's largest workplace law firms, announced it opened a Philadelphia office with three partners: Rick Grimaldi, Maria L. Petrillo, and Robert C. Seiger, III. The opening of the Philadelphia office marks the seventh new location for Jackson Lewis in the past twelve months.

"Jackson Lewis's continuing expansion is a direct result of client demand," says Patrick L. Vaccaro, firm-wide managing partner. "We have always had a very robust client base and practice in the Philadelphia area but the one missing ingredient was a physical presence. With Rick, Maria, and Robert we have significant talent 'on the ground' to not only assist us in servicing our current client base but to help us expand into new opportunities and markets. Philadelphia is a great city and the region is well suited for our style of practice."

The firm's Philadelphia office will handle all aspects of workplace law, representing management exclusively. This includes litigation, labor relations and preventive practices, immigration, restrictive covenants and wage/hour issues. Jackson Lewis has many specialized practice groups including benefits, affirmative action compliance, disability management, and drug testing and substance abuse management which will enhance the scope of services the new office is able to offer their clients.

Mr. Grimaldi's practice spans all aspects of domestic and international labor and employment law. Prior to joining Jackson Lewis, he was counsel for White and Williams LLP where he successfully defended age, disability, and wage and hour claims, as well as satisfactorily handled union negotiations for corporate clients. He is a former Senior Counsel and Director of North American Employee/Labor Relations at Unisys Corporation and a former Chief Counsel for the Pennsylvania Department of Labor and Industry. Mr. Grimaldi is a lifetime member of Continental Who's Who of National Business Leaders, a member of the Americans of Italian Heritage Council, Inc., and a member of the Board of Directors of The Pennsylvania Future Fund. He was selected by his peers and the researchers of Law & Politics as a Pennsylvania Super Lawyer. Mr. Grimaldi is a 1987 graduate of Villanova University School of Law and graduated magna cum laude from Temple University in 1983.

Maria Petrillo handles traditional labor relations issues, union organizing campaigns, and collective bargaining. She counsels clients in all aspects of employment law, with particular emphasis on the defense of workplace claims of wrongful discharge and discrimination. In addition, she advises employers on the development and enforcement of personnel policies, protection of trade secrets, and conducting effective internal investigations. Ms. Petrillo has litigated jury and non-jury cases involving allegations of age, race, gender, disability, and sexual orientation discrimination, sexual harassment, retaliation, and employee defection, as well as claims under the National Labor Relations Act and the Labor Management Relations Act. She has successfully argued matters before the United States Court of Appeals for the Third Circuit, the Pennsylvania Supreme Court and Pennsylvania Commonwealth Court.

Prior to joining Jackson Lewis, Ms. Petrillo was a partner with Saul Ewing. She served as a law clerk to the Hon. Abraham J. Gafni and the Hon. Alfred G. DiBona of the Court of Common Pleas of Philadelphia County. Following her clerkship, Ms. Petrillo joined the Office of the City Solicitor of Philadelphia where her practice included the defense of tort, civil rights, employment discrimination, and wrongful discharge claims. Ms. Petrillo is a 1982 graduate of the Temple University James E. Beasley School of Law and received her undergraduate degree from Georgetown University in 1976.

Robert Seiger contributes to all aspects of Jackson Lewis's immigration practice. He advises clients about obtaining and retaining work visas for executives and key employees; advises human resources management professionals in the development and modification of internal immigration procedures and protocols; and advises clients about minimizing liability under current complex immigration laws. Mr. Seiger has extensive experience representing clients before the U.S. Customs Service, Federal Trade Commission, and related government agencies.

Mr. Seiger formerly was counsel and head of the Immigration Practice Group at White and Williams. He is a member of the American Immigration Lawyers Association and is currently co-chair of the Philadelphia Bar Association's Committee on Law Practice for New Americans. For two consecutive years he has been selected as a Pennsylvania "Rising Star" attorney by Law & Politics. Mr. Seiger is a 1997 graduate of the Villanova University School of Law and received his undergraduate degree from the University of Pennsylvania in 1992.
