Fenwick & West Represents Virgin America in Over $200M of Financings to Launch U.S. Operations
Fenwick & West LLP represented its client Virgin America in two recent rounds of financings, raising over $200 million in debt and equity – the most ever for a new domestic airline. The investors were U.S.-based Cyrus Group and Black Canyon Capital, and the U.K.-based Virgin Group. The completion of the financings helped launch Virgin America's operations on August 8, 2007, with inaugural flights from New York's John F. Kennedy International and Los Angeles International Airport to San Francisco. Virgin America is a U.S.-based airline that offers 3000 MP3s onboard every flight, fresh food when you want it, cashless transactions and is the first U.S. airline with mood lighting.

The Fenwick & West transaction team included corporate attorneys Gordy Davidson, David Bell, Matthew Rossiter, Blake Stafford, Paul Dutton, Ryan Hayes and Aaron Kornfield.

Robert Hudock Again on Winning Team at Defcon 15, the World’s Largest Computer Security Competition
Robert J. Hudock, an associate in the Health Care and Life Sciences Practice in the firm's Washington, DC office, was for the second time in a row a key member of the winning team at the hackers-only Defcon conference, the world’s largest computer security competition.

Out of approximately 100 participants in the “Capture the Flag” (CTF) competition at the 15th annual Defcon conference, held in Las Vegas August 3-5, 2007, Hudock was the only attorney participating among other security and computer experts.

Hudock participated in the three-day CTF Information Security defense competition, where he worked on a computer network to detect other team software and server vulnerabilities. Each of the eight teams were scored on their success in defending their assigned network and in invading other team networks. The teams were finalists from a preliminary competition held in June involving approximately 160 teams from around the world. The Associated Press described the event in an article titled, “Hackers meet to exploit computer flaws: Annual Defcon show aims to demonstrate network vulnerabilities.”

CTF contests are designed to serve as an educational exercise to give participants experience in securing a machine, as well as conducting and reacting to the possible attacks on computers and networks. Reverse-engineering, network sniffing, protocol analysis, system administration, programming, and cryptanalysis are all skills that contestants are required to hold. Additionally, these games often touch on many other aspects of information security, such as physical security, regulatory compliance, and software licensing.

Hudock said: “My participation in computer security competitions (including CTF at Defcon) provides me unparalleled access to some of the brightest minds in computer security while developing my own practice in a dynamic specialization.”

In the Associated Press article, Hudock was quoted on the challenges faced from the stiff competition from a rival team.

Hudock has been an attorney in Epstein Becker & Green’s Health Care and Life Sciences practice since 2000. Hudock advises leading financial and health institutions as well as innovative startup companies on identifying, evaluating and improving the security posture critical to its organization. He is a Certified Information Systems Security Professional and is certified by the National Security Agency to perform INFOSEC Security Methodology (IAM) audits.

Los Angeles Office Managing Partner Linda Kornfeld Named a 'Woman to Watch'
Linda D. Kornfeld, managing partner of Dickstein Shapiro LLP's Los Angeles office and a partner in the Insurance Coverage Practice, was recognized by Business Insurance on its 2007 "Women to Watch" list, released in late July. This prestigious list is composed of fifty women from across the nation doing outstanding work in the commercial insurance industry.

Her experience has spanned the industry from representation of corporate directors and officers in litigation with their insurance carriers to representation of Fortune 500 companies in commercial general liability, errors & omissions, and property and business interruption insurance coverage disputes. In addition to this recognition, Ms. Kornfeld was identified in the 2007 edition of Chambers USA: America's Leading Lawyers for Business as a leader in insurance coverage.

CRAVATH REPRESENTS SANTANDER IN ITS SALE OF LATIN AMERICAN MANDATORY PENSION FUND MANAGEMENT COMPANIES TO ING
Cravath represented Santander in the sale of some of its Latin American mandatory pension fund management companies to ING Group for $1.3 billion. The sale includes companies in Mexico (Afore Santander), Chile (AFP Bansander), Colombia (AFP y Cesantía Santander) and Uruguay (Afinidad AFAP). The lawyers involved in this matter are partners David Mercado and Richard Hall and associates Rezart Spahia, Jorge Montano and Hyun-Jung Lee on corporate matters; partner Michael L. Schler and associate Christian Brause on tax matters; partner Eric W. Hilfers and associate Kerry Halpern-Skoglund on executive compensation and benefits matters; and associate David J. Mandl on environmental matters. The deal was announced on July 27, 2007.

Citi to Sell its Puerto Rico Banking Business
Yesterday, Citi announced that it has agreed to sell its Puerto Rico banking business to Popular, Inc. Popular is a full service financial institution based in Puerto Rico with operations in the United States, the Caribbean and Latin America. The business has $1.1 billion in deposits, $230 million in loans and 230 employees. The terms of the deal were not announced. The Paul, Weiss team representing Citi included corporate partner Paul Ginsberg and associates Nathan Pusey and Dexter Eng; tax partner Jeff Samuels and associate Patrick Karsnitz; employee benefits associate Erin Murphy; real estate partner Peter Fisch and associate Jesse Meltzer. Summer associate Jeanhee Hong also assisted with the transaction. Corporate partner Mark Underberg provided valuable assistance in the early stages of the transaction.

Cabaniss Named Managing Partner of McGuireWoods
McGuireWoods LLP’s Board of Partners has appointed Thomas E. Cabaniss, a partner in the firm’s Charlotte office, to the post of managing partner. Cabaniss succeeds William J. Strickland, who will return to full-time practice in the firm’s Capital Markets Department after 11 years as managing partner.

“Not only is Tom our first managing partner from outside Richmond, but he also practiced in several of our offices and has been in leadership positions for almost his entire career at McGuireWoods,” said McGuireWoods Chairman Richard Cullen. “That background, plus his natural leadership ability, his personality and his self-effacing sense of humor make him a natural to succeed Bill Strickland.”

A native of Chase City, Virginia, and a graduate of North Carolina State University, Cabaniss received his law degree from the University of Virginia in 1975. Prior to joining McGuireWoods in 1985, he was a partner at Kaufman and Canoles in Norfolk. At McGuireWoods he has concentrated his practice in the areas of real estate and commercial lending, banking and creditors' rights.

Cabaniss practiced in the firm’s Norfolk office until 1992, when he moved to the Tysons Corner office. He moved to Charlotte in 1998 to help establish McGuireWoods’ office there. He served on the firm’s Executive Committee from 1992 until 1998 and chaired the Finance Committee from 1996 until his election as managing partner. “Tom’s in-depth understanding of the firm, his passion for excellence and his devotion to client service will serve us well as we take McGuireWoods to the next level,” said Cullen. “We congratulate him on his appointment and we thank Bill Strickland for his many years of dedicated service to the firm.”

Mark P. Rankin Elected to the Board of Directors of NACDL
Carlton Fields is pleased to announce that Tampa attorney, Mark P. Rankin, was elected to the Board of Directors of the National Association of Criminal Defense Lawyers (NACDL) at the NACDL’s national meeting in San Francisco, California. It is a significant accomplishment to be elected to the governing body of the premier organization for criminal defense lawyers in the United States. The firm’s White Collar Crime and Government Investigations Practice Group handles criminal matters in all state and federal courts.

Rankin practices in the firm’s White Collar Crime and Government Investigations Practice Group. Rankin received his J.D. from the University of Virginia School of Law in 1999 and his B.S. in Criminal Justice, magna cum laude, from Old Dominion University in 1996.
