J.C. Flowers in €3 Billion NIBC Bank Disposal
Cleary Gottlieb is advising J.C. Flowers & Co. LLC on its €3 billion sale of Dutch bank NIBC to Kaupthing Bank.

J.C. Flowers is a private equity firm based in New York that is focused solely on the financial service sector. Its latest fund has over $7 billion in commitments from investors. J.C. Flowers leads a consortium of shareholders which currently owns NIBC, a merchant bank focussed on the mid-cap segment in western Europe with a global distribution network.

Kaupthing, a European bank headquartered in Iceland, is the seventh largest bank in the Nordic region based on market capitalization.

Fort Chicago Energy Partners completes C$218.5 million acquisition of Countryside Power Income Fund
Torys represented Fort Chicago Energy Partners with a team that included Phil Symmonds, Krista Hill, John Guccione, Allen Yi, Erica Buschman and Jennifer Dyck (M&A); Corrado Cardarelli (tax); John Cameron (research); Buz Barclay (energy regulatory); Nichole Cortese (U.S. real estate); Sabrina Gherbaz and Danielle Townley (Canadian real estate); Dennis Mahony and Tyson Dyck (environmental); Saro Sarmazian (U.S. corporate); Chris Medland and Stacey Parker-Yull (pension and employment); and Omar Wakil and Craig Pell (Competition Act/HSR).

On August 15, 2007, Fort Chicago Energy Partners LP (TSX: FCE.UN) completed its acquisition of all of the outstanding units of Countryside Power Income Fund (TSX: COU.UN) and US$18,113,000 of 6.25% exchangeable debentures of Countryside Canada Power Inc. for total cash consideration of approximately C$218.5 million.

Countryside's portfolio includes four operational power facilities: a 49 MW gas-fired cogeneration facility in northern California; a 44 MW gas-fired cogeneration facility in southern California; a district energy system in Charlottetown, P.E.I.; and a district energy system in London, Ontario. Countryside's portfolio also includes a 17 MW gas-fired cogeneration facility under construction in London, and opportunities for repowering and greenfield expansion at the California facilities.

Lehman Brothers is the financial adviser to Countryside Power Income Fund and CIBC World Markets Inc. is the financial adviser to Fort Chicago Energy Partners.

Phillips Lytle LLP Continues To Grow Buffalo Office Three new attorneys added to practice
Phillips Lytle LLP, one of the region’s largest full service law firms, continues to grow its Buffalo office with the addition of Carrie A. Christy, Amy E. McShane and Sarah K. Ranni as Associates with the firm.

Ms. Christy joins the firm’s commercial practice focusing in the area of general commercial law. A member of the American and New York State Bar Associations, she holds a J.D. from University at Buffalo Law School – The State University of New York, a M.B.A. from University of Miami and a B.S. from University at Buffalo. Ms. Christy resides in Williamsville.

Also joining Phillips Lytle’s commercial practice is Ms. McShane who focuses on representing clients with real estate matters as well as with land use and zoning issues related to telecommunications, commercial, retail, office/industrial, government-owned and residential real estate. A resident of East Aurora, Ms. McShane received her J.D. from Boston University School of Law and her B.A., magna cum laude, from St Bonaventure University.

The newest addition to the firm’s corporate practice, Ms. Ranni focuses her practice on all aspects of employee benefits. She earned her J.D. from University at Buffalo Law School – The State University of New York and her B.A. from Fordham University. A resident of Buffalo, she is a member of the Bar Association of Erie County, the Western New York Chapter of the Women’s Bar Association of the State of New York and the Fordham Club of Buffalo Board of Directors.

Phillips Lytle LLP Grows NYC Office
Phillips Lytle LLP, one of the region’s largest full service law firms, continues to grow its New York City office with the addition of Eugene P. Caiola
as an Associate with the firm.

Mr. Caiola focuses in the areas of commercial law, commercial real estate, including purchases and sales, leases and lending, and litigation. He received his J.D. from Brooklyn Law School and his B.A., cum laude, from Marist College. Mr. Caiola is also a member of the Association of the Bar of the City of New York, Real Property Law Committee.

Phillips Lytle LLP Grows Buffalo Office Five new attorneys added to litigation practice
Phillips Lytle LLP, one of the region’s largest full service law firms, continues to grow its Buffalo office with the addition of Joanna Dickinson, Allison P. Gioia, Thomas M. Krol, Justin G. Prociv and Christopher G. Todd as Associates with the firm.

Ms. Dickinson focuses her practice on trial matters, including motor vehicle accidents, real property valuation and tax assessment, personal injury, workplace accidents and insurance coverage. A resident of Buffalo, she received her J.D., magna cum laude, from University at Buffalo Law School – The State University of New York and her B.A., magna cum laude, from University at Buffalo. Ms. Dickinson is also a member of the New York State and Erie County Bar Associations and the Women’s Bar Association of the State of New York.

At Phillips Lytle, Ms. Gioia concentrates her practice in the areas of government investigations. Prior to joining the firm, she served as an Assistant U.S. Attorney in the Western District of New York where she was responsible for the investigation and prosecution of complex white collar crimes. Ms. Gioia was presented with the Attorney General’s Award for Outstanding Contributions by a New Employee in 2006. She holds a J.D., cum laude, from Albany Law School of Union University and a B.A. from Hamilton College. A member of the American and Erie County Bar Associations, she also volunteers her time with many local organizations and serves as vice president of the board of directors for Buffalo Therapeutic Riding Center. Ms. Gioia resides in Snyder.

A resident of Lakeview, Mr. Krol focuses his practice in the area of commercial litigation handling a variety of matters involving contract and other business-related disputes. Anton Mertens Selected as Chair of Immigration Law Section of State Bar of Georgia
Smith, Gambrell & Russell partner Anton Mertens was recently selected as Chair of the Immigration Law Section of the State Bar of Georgia for the 2007-2008 Bar Year.

The Immigration Law Section provides information to Department of Homeland Security and the U.S. Department of Labor about current immigration issues and laws. There are currently 305 members of the Immigration Law Section.

Mr. Mertens is a member of SGR’s International section where he leads the Immigration Law practice. A Belgian native, Mr. Mertens advises employers on the work eligibility of new employees in compliance with the I-9 federal law. He received both his B.A. and J.D. degrees from Mercer University.

Shefsky & Froelich Runners Participate in Race Judicata 2007
Shefsky & Froelich athletes Kathy Arnold, Mike Cramarosso, Kathy Deane, Sherry Hojnacki, Tom Kiser, and Cameron Williams braved the 90 degree heat to represent the firm in the Race Judicata® 2007 Sprint for Justice 5K Run & Walk, sponsored by the Chicago Volunteer Legal Services Foundation (CVLS). This small but mighty team finished among the top ten law firms, with Mike Cramarossa and Kathy Deane each ranking 11th in their respective age groups.

Since 1964, thousands of CVLS volunteers have served nearly 300,000 clients who could not otherwise afford legal assistance with their everyday legal matters. CVLS offers quality legal services to low-income Chicagoans on a pro bono basis, assisting with civil issues such as adoption, child support, powers of attorney, and consumer contracts. Shefsky & Froelich shareholder John Sciaccotta is a member of the CVLS Board of Directors.
