Sonia Miller-Van Oort Elected President of the Hennepin County Bar Association
Flynn Gaskins & Bennett is pleased to announce that partner Sonia Miller-Van Oort will begin her term as president of the Hennepin County Bar Association, an 8,000-member organization for 2007-2008 on July 1, 2007. Out-going president, Michael Unger, will pass the leadership gavel to Sonia at the HCBA Annual Meeting on May 24, 2007. She began the leadership sequence in 2004 when she was elected HCBA secretary.

Ms. Miller-Van Oort’s practice primarily focuses on commercial litigation and product liability matters.

Fitch, Even Recognized As A Top Trademark Firm
FETF is pleased to announce that the firm has been recognized in the Trademark Insider, a quarterly publication that tracks the U.S. Trademark Industry. In the 2006 Annual Edition, FETF was included among the most active trademark firms in the country and was named the Top Trademark Firm in Chicago based on the number of applications filed. Chicago is the fourth largest market in the country. Joseph Nabor, a partner and head of the firm’s Trademark Department, received special recognition as a leading trademark attorney and the fourth most active filer of U.S. applications in the country.

Briggs and Morgan Recognized as “Go-To Law Firm®”
Briggs and Morgan, Professional Association, has once again been named a “Go-To Law Firm®” by one of its leading clients, as determined by a recent American Lawyer Media (ALM) survey. Briggs and Morgan will be listed in In-House Law Departments at Leading Financial Services Companies.

ALM’s Corporate Counsel® magazine, the nation’s leading magazine for general counsel and in-house attorneys at corporations across the country, will publish a new reference guide to in-house law departments at the nation’s leading financial services companies. The guide will premiere this summer and will include detailed profiles and contact information for general counsel at these corporations, as well as listings of their current outside “Go-To Law Firms®” in various practice areas, including litigation, securities, transactions, compliance and intellectual property.

The guide was developed in response to a research study of Corporate Counsel readers that revealed that in-house legal department information on the financial services industry was a top priority of respondents. It will be distributed to more than 10,000 general counsel at financial services companies, and will be available on the Web at law.com.

“Go-To Law Firms®” were identified through research conducted by ALM. Researchers asked general counsel at the leading financial services companies which outside law firms they turn to for assistance. ALM's research department also investigated and gathered data on financial services company's “Go-To Law Firms®” from various public records resources including court dockets and securities filings, as well as legal and business publications, including The American Lawyer®.

Judge John Hill to be Honored by the HBA Appellate Practice Section
The Sixteenth Annual Appellate Judicial Reception will be held on June 6, 2007, honoring Winstead shareholder John L. Hill, Jr. A member of Winstead's litigation and dispute resolution department and the appellate practice group, Judge Hill is a former Chief Justice of the Supreme Court of Texas, Attorney General of Texas and Secretary of State. The reception will be held at Brennan's of Houston and the Honorable Thomas R. Phillips will honored along with Judge Hill.

“Judge Hill is committed to the legal profession and he is known in many circles as a distinguished attorney who has dedicated his life to mentoring young lawyers and continuing his legend of making an impact. I'm proud to see him honored by the Houston Bar Association's Appellate Practice Section," said Craig Enoch, a former Texas Supreme Court Justice and chair of Winstead's appellate practice group.

Except for the 11 years he spent in state government, Judge Hill has been a practicing trial lawyer with a long list of distinguished titles in Texas government and law and he is the first person in Texas history to serve the people of Texas as Secretary of State, Attorney General and Chief Justice. He is a member of the American College of Trial Lawyers, International Academy of Trial Lawyers, International Society of Barristers, Order of the Coif Legal Society, and serves as President of Texans for Judicial Excellence, among a host of other professional affiliations.

"We are delighted that Judge Hill is being honored. His excellence as a judge and as a lawyer have set a benchmark for the Texas legal profession," says former Chief Justice William G. (Bud) Arnot, chair of Winstead's Appellate Practice Group in Houston.

Winstead's John Menchaca Appointed to Governor's One-Call Board
Gov. Rick Perry appointed Austin shareholder John A. Menchaca II, along with three other members to the One-Call Board with terms to expire August 31, 2009. The board has authority over “Call Before You Dig” systems that notify underground facility operators of excavation plans so pipelines and utility lines can be marked to prevent accidents. Other appointees included Dean D. Bernal of Austin, Billy Ray Daugette, Jr. of Huntsville, and Christopher J. Rourk of Dallas.

Menchaca is a corporate attorney with Texas law firm Winstead PC. His primary areas of practice are securities and corporate finance, with an emphasis on venture capital and private equity transactions, mergers and acquisitions, and general corporate matters. He is a member of the American and Travis County Bar Associations and currently serves on the board of directors for LifeWorks and the Neighborhood Longhorns. Menchaca is a founding board member of the Rise School of Austin and a 2006 graduate of Leadership Austin. He received his J.D. from the Oklahoma City University School of Law, graduating magna cum laude.

WFW advises Dexia on €190m, C-Power Far Shore Thornton Bank offshore wind farm project
Farley & Williams LLP (“WFW”) advised Dexia Bank Belgium and Dexia Crédit Local as mandated lead arrangers on the financing for the construction and operation of the first phase of Belgium’s first offshore wind farm as a major demonstration project for the Belgian authorities and a fundamental part of the country’s renewable energy commitment.

The developer is C-Power NV, a venture established by a group of companies comprising DEME, Ecotech Finance, EDF Energies Nouvelles, NUHMA and Socofe. Technologically novel in this sector, the project will use 6 Repower Systems 5MW turbines. Rabobank is providing mezzanine finance. Loyens worked with WFW to provide specialised Belgian legal advice.

The wind farm is located 25km off the Belgian coast near Zeebrugge. Further phases are in the planning stage to develop the project’s capacity to 300 MW. The initial phase is scheduled for completion in October 2008 and is being coordinated by C-Power on a multi-contracting basis. Although multi-contracting is economically beneficial for the owner it adds a further layer of complexity in financing projects such as this.

Germany and the UK have previously led the way in wind power projects, with WFW involved in many key wind farms in Europe. The Breeze I and II transactions are, to date, still the largest wind power transactions in Europe, and now with this C-Power project WFW is clearly established as a leading legal adviser to banks and developers in wind and other renewable energy sectors.

Evan Stergoulis, who led the transaction for WFW with finance partner, Mark Lawson, stated: “A few years ago people were saying that deals like this could not be done. What we have seen here is a maturing of large offshore wind projects to the point where banks can accept new risk and apply the latest legal and project management techniques to package wind power in such a way as to make it an attractive debt and equity proposition both to banks and investors. We are one of the few law firms with the experience and expertise to advise on these transactions.

Freshfields advises on €1.03bn refinancing of global wind portfolio
Babcock & Brown Wind Partners today announced the completion of a €1.03bn refinancing and releveraging of its global wind portfolio, aggregating project, asset and corporate level debt across various jurisdictions into a single corporate facility.

International law firm Freshfields Bruckhaus Deringer advised Banco Espirito Santo de Investimento SA, Banco Millennium BCP Investimento SA, Bank of Scotland (HBOS) and Dexia Credit Local, who arranged and underwrote the facilities for the refinancing.

Alex Mitchell, senior associate in Freshfields' London banking group, who led the transaction said, 'This was a complex transaction from a financing perspective. The financing includes secured multi-currency term, construction, working capital and letter of credit facilities made available to regional Babcock & Brown borrowers in Australia, Europe and the US and provides for additional financing capacity to be arranged within the facility in the future.'

The Freshfields banking team included London banking associates Shane Burke and Rebecca Graham as well as New York banking partner Lisa O'Brien.

Allens Arthur Robinson and Bonn Schmitt Steichen provided Australian and Luxembourg law advice to the arrangers.
