Post & Schell Forms "Green Hospital Team"
Post & Schell has created a multi-disciplinary hospital & health system environmental group to help hospitals and health systems with green or environmental building projects. The team includes construction, energy and environmental lawyers with experience in healthcare projects.

Joseph to Serve on Enforcement Subcommittee
The American Health Lawyers Association has announced the formation of an Enforcement Subcommittee. It has been formed by The Fraud and Abuse, Self-Referrals, and False Claims Practice Group, and its purpose is to expand on the original Enforcement Panel that tracked enforcement developments. the Subcommittee will be co-chaired by Beth McClain, Cindy Wisner, Mark Bonanno, John Joseph, and David Deaton. The Enforcement Subcommittee will spearhead many efforts and continue to focus on developments from government enforcement investigations and litigation, such as providing the membership with complaints, indictments, and other materials that often illustrate how matters are resolved or pursued.

HDBDK Selected by General Motors Corporation to Handle Seat Litigation Nationwide
HDBDK has been selected by General Motors Corporation to handle GM’s seat litigation nationwide. Partners Kyle Dreyer and Wendy May will be in charge of this two year program, which begins June 1, 2007. The firm will be responsible for providing all outside counsel legal services associated with defending General Motors Corporation in front and rear seat assembly personal injury product litigation matters in the United States.

Gide Loyrette Nouel advises PAI Partners on its acquisition of a controlling interest in Kaufman & Broad S.A.
Gide Loyrette Nouel advised the French investment fund, PAI Partners, in relation to its take-over of Kaufman & Broad S.A. PAI Partners entered into an agreement with US real estate promoter, KB Home, and another agreement with the CEO of Kaufman & Broad S.A., Guy Nafilyan, to acquire a controlling interest in the French company, Kaufman & Broad S.A.

The lawyers acting for PAI Partners in this transaction were Didier G. Martin, Frédéric Nouel, Serge Tatar (partners) and Antoine Tezenas du Montcel (associate).

Council Approves $50K For Economic Study
The City Council Monday unanimously approved a $50,000 contract with Eaton Peabody Consulting Group to prepare an economic development strategy.

“We want a working document … so we have results,” said Micki Sumpter, executive director of the Ellsworth Area Chamber of Commerce. The city contracts with the chamber for economic development services.

Greg A. Mitchell will serve as project manager.

“You’ve got a lot of new retail investment,” Mitchell told the council. “That tells me you want to look at economic diversification.”

The strategy would address the following issues: economic diversification, capital improvements, assessment of future land needs and staffing needs for economic development efforts.

The city will fund the study with $20,000 in revenue from the Beckwith Hill tax increment-financing district. The remaining $30,000 will come from Coastal Acadia Development Corp. The city has given the development corporation money in recent years for economic development assistance. But, the organization is not as active as it has been.

“I’m very much in favor of this roadmap,” said Council Chairman Gary Fortier.

Councilor John Moore said, “They seemed to be tuned in very closely with what we wanted to hear.”

Councilor Stephen Beathem said it was tough to get him to approve spending money but Ellsworth has numerous projects throughout the city.

“We need something to bring it all together,” Beathem said.

Sumpter said, “I promise I won’t allow it to sit on a shelf. We will move forward.”

The study is to be finished by Sept. 24.

Brown Rudnick Represents Hologic, Inc. in $6.2 Billion Merger with Cytyc Corporation
Brown Rudnick, a premier international law firm, today announced that it is representing Hologic, Inc. (NASDAQ:HOLX) in its $6.2 billion merger with Cytyc Corporation (NASDAQ:CYTC) –- a mega-deal that will create a global leader in women’s healthcare. The merger was announced publicly on May 20th.

Under the terms of the agreement, the new company will be called Hologic, and upon closing, Cytyc will become a wholly-owned subsidiary. In its representation of Hologic, Brown Rudnick formed a multidisciplinary team of attorneys from the firm’s Corporate & Securities, Finance, Intellectual Property, and Employee Benefits & Compensation Practice Groups. IRS Thanks Smoliar, Blackwell Sanders
The Internal Revenue Service thanked Blackwell Sanders and Partner Burt Smoliar Tuesday for their assistance in establishing and supporting KC CASH Coalition, Inc., a Missouri public benefit corporation that oversees implementation of the IRS’s Volunteer Income Tax Assistance program (VITA) in Greater Kansas City. VITA provides tax return preparation free of charge for low income individuals by volunteers. Blackwell Sanders’ assistance includes obtaining recognition by the IRS of KC CASH’s status as a tax-exempt charity, making any donations to that organization tax-deductible.

Smoliar, Kansas City Office Managing Partner Ben Mann and Legal Administrative Assistant Kim Gengelbach received the recognition plaque in a ceremony at the firm’s Plaza location. Two KC CASH representatives made the presentation on behalf of the IRS: Joyce Schau, president of KC CASH and executive with The Salvation Army; and Cathy Davis, KC CASH site coordinator and executive with the FDIC.
