Thompson Hine LLP Taps Megan Dortenzo to Lead Intellectual Property Practice
Megan D. Dortenzo has been named the new leader of Thompson Hine’s Intellectual Property practice group. Located in the firm’s Cleveland office, Dortenzo joined Thompson Hine as a partner in 2005. As leader of the IP group, she will be responsible for strategic planning and business management of the practice. Dortenzo succeeds Mark P. Levy, who recently completed his term as group leader and continues to be an active member of the IP group.

“I am honored to have the opportunity to lead this important practice at Thompson Hine,” says Dortenzo. “Our firm’s IP group is one of the largest in Ohio and provides valuable services to clients with patent and trademark needs.” She received her J.D. from the University of Maryland, her M.S. from Johns Hopkins University and her B.S. from the College of William and Mary.

Stradley Ronon Attorneys to Present Mortgage Lending Conference
Stradley Ronon attorneys Andrew K. Stutzman, Claire M. DeMatteis, Sean R. Adam and Heather M. Tashman, along with Senior Director and Regulatory Counsel of the Mortgage Bankers Association Ken Markinson, will present a 90-minute national audio conference, "The Mortgage Lending Market - An Insider’s Guide to Legislative and Litigation Topics to Help You Weather the Crisis," on June 20.

The conference will focus on the effects of a potential “suitability” standard, class-action litigation trends and offer insight to proposed legislation affecting the subprime industry, including preemption issues in light of the United States Supreme Court’s recent decision in Watters v. Wachovia. It will also cover how the recent changes to the Federal Rules of Civil Procedure will affect discovery and document-retention policies.

Hosted by A.S. Pratt & Sons, a leading provider of regulatory law and compliance work solutions, the audio conference will include a one-hour presentation followed by a 30-minute interactive Q&A session.

Stradley Ronon's Mortgage and Lending Practice Group defends lenders against almost every type of claim handling matters both regionally and nationally in all courts, including bankruptcy, as well as in Alternative Dispute Resolution (ADR) forums.

Veritas Capital Buys Out Aeroflex
Skadden is representing Aeroflex Incorporated, a manufacturer of components for the aerospace and communications industries, in its approximately $1.1 billion leveraged buyout by Veritas Capital, a private equity firm. Aeroflex's products include integrated circuits,microelectronic modules and thin-film interconnects used in military aircraft, satellites and fiber-optic and broadband cable networks.

Skadden Represents Coca-Cola in its Acquisition of Glaceau
Skadden, Arps represented Coca-Cola Co. in its acquisition of Energy Brands Inc. for $4.1 billion in cash. Energy Brands' products, sold under the name Glaceau, include Vitaminwater and other enhanced water beverages. Skadden also represented Coca-Cola in its acquisition of Fuze Beverage in February.

NASDAQ and OMX AB (Sweden) Merger to Create Largest Global Network of Stock Exchanges
Skadden is representing The NASDAQ Stock Market, Inc. in its US$3.7 billion merger with OMX AB (Sweden), creating the largest global network of stock exchanges and stock exchange customers linked by technology.

China Buys $3 Billion Stake in Blackstone Group
Skadden, Arps represented the Chinese government in its placement of $3 billion in foreign exchange reserves with The Blackstone Group, the private equity firm. China said earlier this year it planned to diversify its $1.2 trillion of foreign-exchange reserves, which have until now been held mostly in U.S. Treasury bonds and other government debt. The Blackstone agreement, announced May 21, is China's first foray into other other investment vehicles. "The landmark deal signals China's determination to earn higher returns on its reserves," reported The Wall Street Journal. Skadden represented Central SAFE Investments, which manages part of China's foreign exchange reserves, in purchasing non-voting shares of Blackstone prior to the private equity firm's initial public offering, expected in mid-June. The Chinese government entity will own no more than 10 percent of Blackstone's shares

World's Largest IPO in '07: China CITIC Bank Lists in Hong Kong, Shanghai
Skadden acted as U.S. and Hong Kong counsel to China CITIC Bank Corporation Limited in its US$5.4 billion dual-listed initial public offering, the world's largest IPO to date this year. The IPO consisted of an offering of 4.9 billion H shares (listed on the Hong Kong Stock Exchange) valued at US$3.7 billion through a public offering in Hong Kong and a Rule 144A/Regulation S placement, and an offering of 2.3 billion A shares (listed on the Shanghai Stock Exchange) valued at US$1.7 billion through a domestic offering in China. This is only the second simultaneous Hong Kong/Shanghai Stock Exchange listing. China CITIC Bank is the seventh-largest bank in China based on assets. Skadden also represented China CITIC Bank when Spanish bank Banco Bilbao Vizcaya Argentaria S.A. acquired a stake in it shortly before the IPO.
