Kennedy Covington Attorney to Speak on Foreign Corrupt Practices Act at Upcoming ACC Meeting
Special Counsel Jacqueline Bares will share her in-depth knowledge of the Foreign Corrupt Practices Act (FCPA) as the guest speaker at the June 20th meeting of the Association of Corporate Counsel (ACC) Charlotte Chapter. Bares will focus her presentation on FCPA compliance - the primary focus of her legal practice at Kennedy Covington, one of the largest law firms in the Carolinas.

The FCPA, which prohibits vendors from paying money or giving anything of value to a foreign official in order to win or retain business, is being aggressively enforced by the U.S. government in the wake of Sarbanes-Oxley. For years, Bares has counseled clients about FCPA issues which may arise in connection with international business ventures. She also advises clients on how to comply with the policies, laws and regulations of the foreign countries in which they are conducting business. In addition, for the past decade, Bares has served as principal outside counsel to the international department of one of the nation's largest defense contractors

At the ACC's upcoming meeting, Bares will discuss why companies need to give thoughtful consideration to the impact of the FCPA on their operations, as they seek to grow in emerging markets and expand their business internationally.

Kennedy Covington Further Expands Financial Services Team
Kennedy Covington, one of the largest law firms in the Southeast, is strengthening its commitment to its financial services clients through the addition of Kent Walker as a partner in the firm's Charlotte office.

Walker, formerly a partner in the syndicated finance practice in the Charlotte office of Helms Mulliss & Wicker, will continue his focus on debt finance transactions at Kennedy Covington through his representation of financial institutions in leveraged and investment grade credit facilities utilized for acquisitions, recapitalizations, cash flow and other customer needs.

Walker's experience in debt finance transactions covers a variety of industries, including healthcare, general industrial, engineering and construction, media, telecommunications and technology. Recently, he has represented the administrative agent in a number of senior debt transactions, including providing over $1 billion to a general industrial customer in connection with a significant recapitalization. In addition, he recently worked on the senior financing for several acquisitions and dividend recapitalizations.

Walker received his J.D. from Harvard Law School and his B.S. in Business Administration from the University of North Carolina at Chapel Hill, where he was a Morehead Scholar.

High Court Dashes Home Care Worker’s Overtime Bid

Fenwick & West Represents ABS Capital Partners in Private Equity Buyout of Innovation Interactive
Fenwick & West LLP represented ABS Capital Partners in the management-led buyout of Innovation Interactive Inc. from its parent company, Livedoor Japan. Innovation Interactive, based in New York, NY, provides search-centric digital marketing services and is the parent company of leading digital brands such as 360i and SearchIgnite. The buyout was funded by the management team and employees of Innovation Interactive and backed by ABS Capital. Financial terms of the transaction were not disclosed. Savvian Advisors LLC acted as exclusive financial advisor to Innovation Interactive and RBC Capital Markets acted as financial advisor to Livedoor Japan.

Partner Moderates Panel at Anti-Corruption Conference
Anti-corruption enforcement actions are reaching across industries and around the globe like never before. In the last few months, there has been an increase in the number of high-profile enforcement actions, harsher penalties for both individuals and corporate offenders and active cooperation among enforcement officials in various countries.

The increase in anti-corruption enforcement makes prevention an even higher priority than in the past. The absence of preventative measures is almost certain to result in substantially increased penalties should an issue arise, making an effective anti-corruption compliance program essential for all global companies. Bryan Cave LLP Partner Anita Esslinger will moderate a panel on corruption risk assessments at the upcoming International Conference on Anti-Corruption, organized by the American Conference Institute and C5 Group.

The June 13-14 conference in London will examine anti-corruption compliance programs, the Foreign Corrupt Practices Act, instilling compliance ethics, commercial intermediary risk, foreign official relationships and governmental joint-venture partnerships. Attendees will include an international audience of ethics and compliance officers, vice presidents and board directors, general counsel, corporate ombudsmen and numerous private practice lawyers specializing in international trade, corporate compliance and governance, white collar crime and internal investigations.

Esslinger’s practice includes corporate and commercial transactions, including worldwide cross-border distribution and marketing arrangements, joint ventures, technology transfers and acquisitions. Her practice focuses on US, UK and European export controls and sanctions regulations, the US Foreign Corrupt Practices Act, the OECD Bribery Convention and other corruption initiatives. In addition to providing counseling to clients in these areas, she has participated in internal investigations and due diligence efforts involving these issues and has assisted companies in developing corporate compliance and training programs in these areas.

Carolyn Wolff Joins Bryan Cave LLP in St. Louis
Carolyn Wolff has joined the international law firm Bryan Cave LLP in the firm’s St. Louis office. Wolff joins Bryan Cave’s Employee Benefits Group as Of Counsel, after retiring from Anheuser-Busch Companies, Inc., where she served as associate general counsel until January 2005.

“With her vast experience in employee benefit matters, Carolyn will be an excellent addition to Bryan Cave,” said Peter Van Cleve, managing partner of the firm’s St. Louis office.

During her 13 years at Anheuser-Busch Companies, Wolff advised many of the company’s departments on a full range of employee benefit matters, including retirement and welfare benefits. She also had broad exposure to executive and stock-based compensation, fiduciary, labor, international and securities matters. Prior to joining Anheuser-Busch Companies, Wolff was a principal at Greensfelder, Hemker and Gale, P.C.

Wolff received her J.D. in 1977 from Washington University and her A.B. in 1962 from Radcliffe College.

Philip Gutwein Named to Benefits Conference Board
Philip J. Gutwein II of Baker & Daniels LLP has been named to the Indiana Benefits Conference board of directors.

The IBC provides a regular forum for employee benefit professional groups to meet and network on the latest developments in employee benefits law and regulations.
