Gide Loyrette Nouel, legal counsel for the second securitisation transaction in Tunisia:
The International Arab Bank of Tunisia (La Banque Internationale Arabe de Tunisie) (BIAT) has recently securitised private individual mortgages, via the common receivables fund FCC (fonds commun de créances) BIAT-CREDIMMO 2. This transaction arranged by Maghreb Titrisation (Maghreb Securitisation) was for an amount of TND 50,000,000 (EUR 29,000,000). The FCC (fonds commun de créances - common receivables fund), set up by Tunisie Titrisation (Tunisia Securitisation) (management company) and the BIAT (depository), is governed by the law No. 2001-83 dated 24 July 2001 relating to the enactment of the Code on Collective Investment Schemes (Code des Organismes de Placement Collectif).

The FCC (fonds commun de créances - common receivables fund) has financed the purchase of the receivables by the issue of five categories of shares:

TND 30,000,000 of priority shares P1 (estimated maturity: July 2013),
TND 10,500,000 of priority shares P2 (estimated maturity: July 2016),
TND 4,000,000 of priority shares P3 (estimated maturity: April 2020),
TND 4,000,000 of subordinated shares (estimated maturity: April 2020), and
a residual share subscribed for by BIAT.

Taking into account the quality of the portfolio of receivables selected by the BIAT for this second transaction, the shares are rated by Moody's (Aaa.tn for the priority shares and A3.tn for the subordinated shares), which has enabled the optimisation of the financial conditions of the issue.

The Gide Loyrette Nouel team which acted as counsel to the BIAT in this transaction was made up of Kamel Ben Salah, Amina Larbi-Ezzine and Hana Araar, legal counsel, in Tunis, and Xavier de Kergommeaux and Grégory Benteux in Paris.

This same team had already assisted on the first Tunisian securitisation transaction, which was also initiated by the BIAT in 2006.

Prince Lobel mourns the death of William O. Rizzo
Prince, Lobel, Glovsky & Tye LLP expresses its deepest sorrow on the passing of our friend and colleague, Bill Rizzo on June 12, 2007. While we grieve for this loss, we also celebrate Bill’s life and his many contributions to the legal community and to our firm.

Of counsel to Prince Lobel since 2003, Bill was a valued member of the firm’s Real Estate Law Group. Prior to joining our firm, Bill was a partner at Kirkpatrick & Lockhart, LLP, and a founder of McDermott & Rizzo.

Bill was a graduate of Lawrence University (magna cum laude, phi beta kappa, 1970) and Columbia University School of Law (Harlan Fiske Stone Scholar, Columbia Law Review, Notes and Comments Editor, 1973). After law school, Bill served as law clerk to the Honorable Irving R. Kaufman, Chief Judge of the United States Second Circuit Court of Appeals, before joining Ropes & Gray in Boston.

Bill indulged his lifelong interest in history as a devoted member of the Brookline Thursday Club. He was a historian, trusted advisor, good friend, loving husband, father and brother. He was devoted to his community, but above all to his wife, Susan J. Parker, and their daughter, Aura Rizzo.

Kramer Levin Honored As "Pro Bono Champion" by Legal Services for New York City
Legal Services for New York City (LSNY) honored Kramer Levin as one of its "Pro Bono Champions" for 2007 for its decade-long commitment to staffing a full-time Housing Court externship at South Brooklyn Legal Services. LSNY, the umbrella organization for Legal Services offices in New York and the largest provider of free civil legal services to low-income people in the United States, also presented individual pro bono recognition awards to Pro Bono Committee Chair Jeffrey S. Trachtman for his support of the externship program and to Kramer Levin's recent South Brooklyn externs, associates Darren Cohen, Christos Yatrakis, Guilaine Senecal, and Tracy Sigal.

Kramer Levin Among Firms Honored For Representing Guantánamo Bay Detainees
The National Legal Aid & Defender Association (NLADA) presented its 2007 Beacon of Justice Award to Kramer Levin along with more than fifty other law firms from across the nation that have provided pro bono legal assistance to detainees at Guantánamo Bay. In honoring these firms, NLADA noted that “[t]he uncompromising stance taken by these law firms to provide representation to individuals, despite public criticism, demonstrates an unwavering belief and commitment to fairness and equality under the law for all persons accused of a crime.”

Michael Sternhell, a member of the Kramer Levin team representing seven current and former Guantánamo detainees, accepted the award on behalf of the firm at NLADA’s Exemplar Awards Dinner in Washington, DC. The dinner is an annual event held by NLADA to honor those lawyers who work to improve the quality of representation for people unable to pay for legal assistance and to salute outstanding individuals who set an example in that regard by their extraordinary dedication, achievement, leadership, and vision.

Attorneys Joel S. Dalinka and Peter T. Berk join the Chicago Office
Attorneys Joel S. Dalinka and Peter T. Berk have joined the Chicago office of McDonald Hopkins LLC, a full-service business law firm headquartered in Cleveland. Dalinka has joined as a Member in the Business Department and Berk will be an associate in the Litigation Department.

Dalinka is a long-time resident, having earned his bachelor’s degree from the University of Illinois, Urbana-Champaign in 1992 and his law degree from Northwestern University School of Law in 1996. He is a member of the Chicago Bar Association and the Barristers Big Band, a jazz ensemble group composed of Chicago judges, lawyers and other members of the legal community.

A veteran banking and finance attorney, Dalinka has represented banks and borrowers in drafting and negotiating complex commercial, asset-based and mortgage loan transactions. He also negotiates and drafts various complex corporate transactional documents and counsels clients on corporate, legal and financial matters. Berk has education ties to Chicago as well, having also graduated from Northwestern University School of Law in 1997. As an experienced litigator, Berk has represented individuals, business and corporate plaintiffs and defendants in intellectual property and other civil matters. He also has extensive experience in trademarks, defamations, fraud, class actions and internet-related litigation.

In the past few years Berk has published numerous articles related to intellectual property and other business topics, including a co-authored article titled “Anonymity, Immunity and On Line Defamation: Managing Corporate Exposures to Reputation Injury,” which earned him the Burton Award for Legal Writing in 2003.

Dalinka and Berk will practice from McDonald Hopkins’ newest office location in Chicago, established in early 2007 as the result of a merger with Harris Kessler & Goldstein LLC. The merger was McDonald Hopkins’ entry into the financial center of the Midwest, which helped build a stronger presence with, and offer more services to, middle market companies in the region.

Minister of Indian Affairs and Northern Development releases The Mayer Report on Nunavut Devolution
Paul Mayer, a partner with Fasken Martineau, is the Senior Ministerial Representative for Nunavut devolution by Minister Prentice.

The Honourable Jim Prentice, Minister of Indian Affairs and Northern Development and Federal Interlocutor for Métis and Non-Status Indians, today released The Mayer Report on Nunavut Devolution, a report that outlines the challenges and opportunities faced by the territory of Nunavut as it engages the federal government with respect to devolution.

In November 2006, Paul Mayer, a partner with Fasken Martineau DuMoulin LLP, was appointed Senior Ministerial Representative for Nunavut devolution by Minister Prentice. Mayer's mandate was to meet with federal and territorial leaders and to work with the Government of Nunavut and Nunavut Tunngavik Incorporated to research issues relating to Nunavut devolution and to provide recommendations to the Minister for successful devolution negotiations.

"I was impressed by how overwhelmingly important the issue of achieving devolution has become to the Government of Nunavut and Nunavut Tunngavik," said Mayer. "This report provides a comprehensive look at this issue as seen by leaders and officials of the federal and territorial governments and Nunavut Tunngavik Incorporated. Our discussions focused on the interests, priorities and approaches that will be the basis of a successful devolution for Nunavut."

Devolution involves the proposed transfer of responsibility for administration and control over public lands and resources from the federal government to the Government of Nunavut. Since the 1970s, the federal government has gradually transferred decision-making powers to the territorial governments in order to support the political evolution of the territories and provide greater local accountability.

The Mayer Report on Nunavut Devolution identifies a number of substantive issues, including what is to be transferred during the devolution process, the human resources capacity issues and the challenges with the current regulatory framework for industry.
