Doug Selph of MMM Elected to American College of Real Estate Lawyers
Douglas D. Selph, a partner with Morris, Manning & Martin, LLP, has been elected to the American College of Real Estate Lawyers (ACREL).

“ACREL is the premiere group of real estate lawyers in the country, and members must undergo a rigorous selection process,” said the firm’s Managing Partner Bob Saudek. “This honor reflects Doug’s outstanding leadership, achievements and contributions to real estate law.”

ACREL’s objectives include promoting high standards of professional and ethical responsibility; improving real estate law and practice; producing educational materials; addressing issues of importance; and consulting with legal organizations, government agencies and others interested in real estate law. Membership is by invitation only. Members are elected based on both their legal experience and their efforts to improve the profession. Once accepted into the organization, members share their knowledge with others through the group’s committees, programs and annual meetings.

Selph, a Past Chair of the Executive Committee of the Georgia Bar’s Real Property Law Section, is a member of Morris, Manning & Martin’s Commercial Lending, Real Estate Development and Finance, and Real Estate Capital Markets groups. He frequently speaks at Bar seminars, and has published articles in the Georgia Law Review and the Georgia Bar Journal. In addition, he is a member of the Board of Directors of the Real Estate Investment Advisory Council’s Southeast chapter (REIAC).

He represents large money center banks, life insurance companies and other institutional lenders in a wide variety of secured and unsecured lending transactions. He is also experienced in REIT-related transactions and provides counsel on commercial leasing transactions as well as acquisitions, dispositions and development deals.

MMM Represents Knology in $255 Million Acquisition
Morris, Manning & Martin counseled broadband provider Knology Inc. in its $255 million acquisition of PrairieWave Holdings, a broadband provider located in South Dakota. The deal closed this spring.

The Morris, Manning & Martin team included partners Jim Walker, Terresa Tarpley, Susan Spencer, Cass Brewer, Doug Selph and Bruce Wynn as well as associates Scott Allen, Shellie Hammock and Stacie Turner.

Knology, headquartered in West Point, Georgia, is a leading provider of interactive communications and entertainment services. It serves both residential and business customers with one of the most technologically advanced broadband networks in the country. The deal allows Knology to expand its footprint by adding meaningful scale to its existing operations as well as increase its geographic reach.

PrairieWave, based in Sioux Falls, S.D., provides Internet access in South Dakota, Minnesota and Iowa. The company has about 400 employees in 16 offices.

Martha J. Koster Elected to the Role of MLAC Board Vice-Chair
The Massachusetts Legal Assistance Corporation (MLAC) elected Martha Koster to the role of MLAC Board Vice-Chair at its May 24th meeting.

Martha is a member of the firm's Boston office, where she practices in the Litigation Section, concentrating on environmental and insurance issues and on cases raising legal and regulatory concerns under state and federal laws. Koster previously served as a deputy general counsel to the Massachusetts Department of Public Health, where she worked on health regulatory as well as environmental matters. Koster is a long time Board member and former President of Greater Boston Legal Services. She is a past Treasurer and two term Council member of the Boston Bar Association.

LeClair Ryan Prevails with Client Verdict, Part of Team in Jury Trial Over Pioneering Text Messaging Patent
LeClair Ryan’s intellectual property litigators were part of a winning team which, after a nine-day jury trial, prevailed in protecting and enforcing a patent covering pioneering text messaging technology.

On May 25, 2007, a jury in the United States District Court for the Eastern District of Virginia (Richmond Division) returned a verdict in favor of Telecommunications Systems, Inc. (“TCS”) in its patent infringement suit against Mobile 365, Inc. (now known as Sybase 365). The jury found that Mobile 365 willfully infringed TCS’s U.S. Patent No. 6,985,748, which facilitates inter-carrier text messaging, and awarded $12.1 million in past damages. The jury also imposed a 12% royalty on Mobile 365’s post-issuance sales of infringing services. The District Judge, the Honorable James R. Spencer, still has before him TCS’s request for injunctive relief and motion for treble damages and attorney fees.

TCS was represented in this case by LeClair Ryan (Dana J. Finberg and Rhodes B. Ritenour) and the Chicago firm of Niro, Scavone, Haller and Niro.

Brian G. Steller to speak at the Insurance Council of New Jersey’s 9th Annual
Brian G. Steller will speak at the Insurance Council of New Jersey’s 9th Annual Symposium on Friday, June 15, 2007. The Symposium will be held at the Sheraton at Woodbridge Place in Iselin, New Jersey.

Mr. Steller will discuss developments in first party bad faith litigation claims. In addition to his extensive appellate experience involving insurance law and insurance coverage issues, Mr. Steller has argued before the New Jersey Supreme Court on four occasions. He has also spoken nationally and internationally on primary and excess insurance coverage.

The ICNJ symposium is an annual event attended by hundreds of members of New Jersey’s property and casualty insurance industry. Veolia Environnement in €2.6 Billion Rights Offering
Cleary Gottlieb acted as issuer's counsel to Veolia Environnement in its €2.6 billion rights offering of more than 51 million new shares. The offering includes a public offering in France and private placements internationally. The rights may also be exercised in the United States by qualified institutional buyers. The deal launched June 12 and is expected to close July 10.

Long-time client Veolia Environnement is the world leader in environmental services. It provides tailored solutions worldwide to meet the water, waste and energy management, and freight and passenger transportation needs of municipal and industrial customers.

The offering is intended to provide Veolia Environnement with financial flexibility to pursue growth, following targeted acquisitions totaling nearly €3.3 billion in Europe and the U.S. during this year.
