AIG's Ex-Chief Loses Bid to Sue Former Officials
On June 13, American International Group Inc. former Chief Executive Officer Maurice "Hank" Greenberg lost a bid to file claims against past and present company officials as part of a lawsuit originally filed against him in Delaware Chancery Court five years ago. In 2002 Greenberg was sued by pension fund Teachers' Retirement System of Louisiana for allegedly siphoning millions of dollars from AIG, the world's largest insurer, through payments to insurance agency C.V. Starr & Co., which he controls. Greenberg claimed two dozen other current and former AIG executives and members of the board may share liability in the case and tried unsuccessfully to get the right to countersue them. As reported by The Washington Post and other publications, litigation partner Dan Kramer, who is representing AIG in the case, told the judge that filing claims seeking future payment from parties outside the case before any liability has been established is inappropriate. The court agreed. The Paul, Weiss team also included litigation partner Robbie Kaplan, who successfully presented AIG's argument opposing production of certain privilege documents, counsel Stacey Shortall and associates Jessica Brach, Jennifer Ching, Elizabeth Gallagher, Adam Hill, Matthew Insley-Pruitt and Danielle Phillip.

Paul Hastings Represents UBS Limited and Banca IMI on the Listing of Zignago Vetro S.p.A.
Paul, Hastings, Janofsky & Walker (Europe) LLP ("Paul Hastings"), a leading international law firm, has represented UBS Limited ("UBS") and Banca IMI on their role as joint global coordinators, joint bookrunners and joint institutional lead managers to the initial public offering and listing on the MTA-STAR Segment of 25,500,000 ordinary shares of Zignago Vetro S.p.A. ("Zignago Vetro") (the "Offering").

The Offering is split into two parts - one by way of a secondary offering to retail investors in Italy, representing 25% of the Offering. The second part is a private offering to international institutional investors in Europe, representing 75% of the Offering. Zignago Holding S.p.A will sell down its current shareholding in Zignago Vetro raising approximately €114,750,000 and will retain a stake of 68.12% in the listed company. The request of shares was 8X the actual shares offered.

"We are delighted to have worked together with UBS and Banca IMI on this major listing," said Bruno Cova, Co-Chair of Paul Hastings Milan Office. "This transaction demonstrates the capabilities of our European capital markets practice and highlights the quality and integration of our services across our European network".

Based on the placing price of €4.50 per share, the market capitalisation of Zignago Vetro following listing and upon commencement of dealings will be approximately €360 million, making it one of the largest listings on the Italian Stock Exchange in 2007.

Zignago Vetro is one of the leading market operators in the production of glass containers for the food and beverage industries in Italy. Zignago Vetro also has a significant presence on the global market in the production of glass containers for the cosmetics and perfumery industries and of specialty glass containers.

Carlton Fields Attorney, Amy L. Carstensen, Elected Co-Chair of the 2007 HCBA Community Liaison Committee
Carlton Fields attorney Amy L. Carstensen was recently elected Co-Chair of the Hillsborough County Bar Association’s Community Liaison Committee for 2007-2008. Her term begins on June 27, 2007.

Carstensen is a member of the Firm's Corporate, Securities & Tax Practice Group and the Wealth Preservation & Estate Planners Subgroup. She practices in the areas of business planning, general corporate law, and mergers and acquisitions. Carstensen received her B.A., in English, cum laude, and her B.S., in Psychology, cum laude, from the University of Florida in 1996. She received her J.D., magna cum laude, from Stetson University College of law in 2005.

Clean and Renewable Energy Practice Earns No. 2 U.S. Ranking
Andrews Kurth was the number two U.S. legal adviser and number six global legal adviser for the completion of $545 million in wind farm project financings in 2006, according to year-end data compiled by Dealogic.

“In a very short time we have established our renewables team as a top player on the world stage,” said Dahl Thompson, a Partner and Chair of the firm’s Clean and Renewable Energy group. “We see this as further outgrowth of the firm’s capabilities as a long-time leader in the energy space.”

In March, the firm closed a wind project financing that enabled construction of a 90MW wind farm in Guadalupe County, New Mexico. In August, the firm closed one of the largest wind farm construction financings to date in the United States. The project weighed in at 240MW and was complicated by two different types of turbine technologies (Siemens and Mitsubishi) and the sale by one of the developers of its interest in the project. Later in 2006 a $432 million wind farm construction financing was finalized. The project tipped the scales at 300MW, covered over 35,000 acres across Weld County, Colorado, and used a mix of 274 Mitsubishi and GE Wind turbines.

While not included in the most recent Dealogic rankings, the group has been involved in several major international financings led by Mark Riedy in Asia and David Concannon in Europe. The group has represented clients in the construction financing of a 50 million gallon-per-year biodiesel manufacturing facility in India at a $21 million total project cost, with all equity funding coming from a private equity company in Silicon Valley (to be project financed after the commercial operations date). This was the first biodiesel project ever closed in India. The group also closed a $180 million Ascent Private Equity Fund in Mauritius and a related trust in India and then worked with a large Indian financial institution for a $10 million private equity investment out of the fund and into another Indian biodiesel manufacturing facility. This particular plant has a production capacity of 30 million gallons per year. Other activities include closing a $100 million dollar solar powered water treatment project involving approximately 5,125 units to be installed throughout India and providing counsel to European biofuel companies in preferred stock financings.

Smith Anderson Partner, Merrill M. Mason, Honored at the 21st Annual CED Entrepreneurial Excellence Awards
On June 12th in front of over 400 invited guests, Smith Anderson partner Merrill M. Mason received an Entrepreneurial Excellence Award from the Council for Entrepreneurial Development (CED) for Outstanding Service to Entrepreneurs.

Held annually for the past 21 years, CED's Entrepreneurial Excellence Awards gala recognizes outstanding individuals and companies for their entrepreneurial achievements and celebrates the sector's positive economic impact to North Carolina.

Other individuals and companies honored last night received awards for Entrepreneurial Excellence, Community Impact, Deal of the Year (Public Company), Deal of the Year (Private Company), Growth Company of the Year, Spin-Out of the Year, and FastTrac Tech Company of the Year.

The award given to Mr. Mason recognizes his over 20 years of service to the entrepreneurial community. A corporate lawyer, he primarily represents emerging and entrepreneurial companies and focuses his practice on venture capital; securities; mergers and acquisitions; intellectual property; and general corporate matters. Passionate about working with developing entrepreneurs and law students, Mr. Mason serves as an adjunct instructor at the University of North Carolina's Kenan-Flagler Business School and the University of North Carolina School of Law.

Smith Moore's Kimberly Gatling Named Chair of NCBA Intellectual Property Section
Smith Moore LLP attorney Kimberly Bullock Gatling has been named Chair of the North Carolina Bar Association (NCBA) Intellectual Property Section. Gatling will serve a one-year term in the position as she guides the 573-member section and its examination of patent, trademark, and copyright law issues.

Gatling will guide the section's involvement in a variety of initiatives, including the newly formed NC LEAP, a pro bono program of the NCBA that provides business law services to low-wealth entrepreneurs throughout the state. According to Gatling, an entrepreneur's intellectual property is often his most valuable asset, although many cannot afford to hire counsel to seek appropriate intellectual property protection. "I look forward to chairing the section this year and am particularly excited about the involvement with NC LEAP. The program will increase the opportunities for low-wealth entrepreneurs to obtain intellectual property protection by working with skilled attorneys whom the entrepreneurs would not otherwise be able to afford."

Gatling is a key member of Smith Moore's business practice as she concentrates her interests in the areas of patents, trademarks, and copyrights. Gatling prosecutes computer software, business method, and mechanical patent applications before the US Patent and Trademark Office. She also prosecutes federal trademark applications, drafts and negotiates intellectual property licenses, and advises clients on infringement issues.

Quarles & Brady LLP's Domestic Abuse Injunction Advocacy Team Honored With Exceptional Pro Bono Partnership Award
Domestic Abuse Injunction Advocacy Team was recognized by Legal Action of Wisconsin, Inc.’s Volunteer Lawyers Project for its efforts to provide legal services to low-income clients. The Exceptional Pro Bono Partnership award acknowledges the attorneys for their efforts to assist with domestic abuse proceedings and represent the victims at permanent injunction hearings. The Firm’s Domestic Abuse Injunction Advocacy Team consists of co-captains Adrienne Olson and Rachel Schneider, Autumn Kruse, Jeremy Westlake, Michelle Gran, Natalie Remington and Celestina Owusu-Sanders.

“It is gratifying to see Quarles & Brady and these seven attorneys providing this much-needed service to help members of this community who are in need,” said Patricia Risser, coordinating attorney for the Volunteer Lawyers Project. “This project is a wonderful collaboration, and we are proud to recognize these attorneys for all of their efforts to give back and help others. Quarles & Brady is a model of pro bono for other law firms in this community. ”

The Domestic Abuse Injunction Team works in partnership with the Task Force on Family Violence and the Volunteer Lawyers Project. The seven Quarles & Brady attorneys have made a commitment to be available during specific weeks to represent victims of domestic abuse at injunction hearings. During the first year of the program, Firm attorneys represented 18 clients at injunction hearings.

“We are proud to have established a Domestic Abuse Injunction Advocacy Team that helps people in this community receive the legal services and representation they deserve,” said Patrick M. Ryan, managing partner of the Firm. “We applaud these attorneys for getting involved and making a difference in the lives of others and congratulate them for their efforts. We encourage employees to get involved in the community, and these attorneys are an excellent example of going above and beyond.”

Quarles & Brady attorneys are also involved with the Task Force on Family Violence by volunteering to serve at the organization’s courthouse clinic two afternoons per month. The attorneys explain legal requirements to victims and the process for seeking restraining orders, assist them with completing legal petitions and more.
