Carl M. Buchholz Elected Board Chair of United Way of Southeastern Pennsylvania
Blank Rome is pleased to announce that Carl M. Buchholz has been named incoming chair of the Board of Directors for the United Way of Southeastern Pennsylvania. In this capacity, Mr. Buchholz will lead the United Way’s 60-member board for a two-year term. Mr. Buchholz will assume his position as chair in mid-2007.

“I am honored to work alongside this wonderful organization and important team of volunteers,” said Carl M. Buchholz, who has served on the board since 2003. “The United Way works tirelessly to improve lives and to address social welfare needs of the region for all people. I look forward to collaborating with the United Way in its commitment to building a better future for our community.”

As board chair, Mr. Buchholz will play an important civic and philanthropic leadership role in the region. The Board of Directors has the mandate of establishing policies and direction for the United Way, including setting goals for the annual fundraising campaign as well as implementing strategy and priorities for the funds invested in the community.

Mr. Buchholz has a long history of community involvement and has been a benefactor of United Way for several years. His relationship with United Way includes serving as chair of the Executive Committee and chair of the Alexis de Tocqueville Society, which is aimed at deepening the understanding, commitment, and support of individuals to the United Way.

“We are extremely grateful for Carl’s commitment and enthusiasm to leading the board and United Way’s strategic vision,” said Alba Martinez, president and CEO of United Way of Southeastern Pennsylvania. “Carl’s skills as an attorney and community leader will be tremendously valuable in guiding United Way’s strategy.”

In addition to his role as managing partner, Mr. Buchholz concentrates his practice in the area of complex commercial litigation, including environmental, insurance, class action, and patent litigation. Mr. Buchholz also serves as senior principal in Blank Rome Government Relations LLC, representing a broad range of technology, communications, and healthcare clients before the Congress, the Administration, and independent agencies in legislative and regulatory matters. Mr. Buchholz has received the honor of being named listed in Who’s Who in American Law and Who’s Who in the East.

Mr. Buchholz rejoined Blank Rome as executive partner in 2002 after serving as special assistant to the President and executive secretary at the White House Office of Homeland Security in Washington, D.C. While at the White House, Mr. Buchholz worked with then-Director of Homeland Security Tom Ridge and President Bush to develop the Administration’s policies on the war on terror, and co-chaired the Transition Team to the newly established U.S. Department of Homeland Security. Mr. Buchholz took over as managing partner and chief executive officer of Blank Rome in July 2006.

Actively involved in numerous other community and charitable organizations, Mr. Buchholz serves as Executive Committee chairman of Philadelphia Academies Inc., an independent nonprofit corporation dedicated to strengthening public school students’ academic and occupational skills. In addition, Mr. Buchholz serves as a member of several boards, including the Philadelphia Orchestra Association, Arthur Ashe Youth Tennis and Education, Pennsylvanians for Effective Government, the Committees of Seventy, and the Greater Philadelphia Chamber of Commerce.

Mr. Buchholz received his law degree from the University of Pennsylvania Law School and graduated with a Bachelor of Arts, with highest distinction, from the University of Virginia.

Blank Rome Ranks High in Lateral Partner Satisfaction
A recent survey conducted by Major, Lindsey & Africa (MLA), a global recruiting and consulting firm, revealed that Blank Rome LLP ranked among the highest for law firms with respect to lateral partner satisfaction and partner integration. Of the 244 participating firms, Blank Rome was one of only four firms with less than 500 attorneys recognized by the survey as ranking among the highest amid its peers in lateral partner satisfaction.

“We make it a priority to effectively integrate our lateral partners into the Firm’s business, and are pleased that those efforts have been both successful and well received by the new partners joining Blank Rome,” said Alan Hoffman, chair of Blank Rome’s Lateral Recruiting Committee and head of the Firm’s Litigation Department. “The findings from this survey further underscore Blank Rome’s reputation and culture of fostering an environment where our partners can continue to build and grow their practices, ultimately contributing to success of the Firm.”

The MLA Lateral Partner Satisfaction survey is designed to assess the satisfaction of lateral partners and identify factors contributing to that statistic. As part of the survey, lateral partners were asked to rank the reasons they selected their new firm, based on a number of factors, including the ability to support/expand their practice, the firm’s culture and reputation, other partners’ personality styles, firm’s financial health, strength of the management team, firm’s existing client base, compensation structure, and the firm’s national/international presence. The new lateral partners were also asked to rate how well their new firm effectively integrated partners into the culture and business of the partnership.

Amy Karff Halevy Presents "The Aging Workforce and Age Discrimination”
Bracewell & Giuliani LLP partner Amy Karff Halevy will speak as part of the University of Houston Advanced Employment Law CLE program this summer.

Ms. Halevy will speak on “The Aging Workforce and Age Discrimination.” She is the co-head of the Labor and Employment Section at Bracewell & Giuliani and represents employers in all areas of employment law. Ms. Halevy is also a contributing editor to the Texas Association of Business Employment Law Handbook, and a frequent speaker on employment matters.

Einstein Noah Restaurant Group, Inc. Re-IPO
Davis Polk & Wardwell advised Morgan Stanley & Co. Incorporated and Cowen and Company, LLC as the joint book-running and joint lead managers and Piper Jaffray & Co. as the co-manager of the $90 million re-IPO of 5,000,000 shares of common stock of Einstein Noah Restaurant Group, Inc. In connection with the offering, Einstein Noah’s common stock, which previously traded on the pink sheets, was listed on Nasdaq.

Einstein Noah is the largest owner/operator, franchisor and licensor of bagel specialty restaurants in the United States with approximately 600 restaurants in 36 states and the District of Columbia under the Einstein Bros. Bagels, Noah’s New York Bagels and Manhattan Bagel brands.

Taleo Corporation Secondary Offering of Common Stock
Davis Polk & Wardwell advised Deutsche Bank Securities Inc. as sole book-running manager and CIBC World Markets Corp. and ThinkEquity Partners LLC as managing underwriters on a $70 million secondary offering of 3,522,068 shares of Taleo Corporation’s common stock by certain stockholders. The common stock is listed on the Nasdaq Global Market under the symbol “TLEO.”

Based in Dublin, California, Taleo Corporation delivers on-demand talent management software that enables organizations to assess, acquire, develop and align their workforce for improved business performance.

The Davis Polk corporate team included partner Alan F. Denenberg and associates Mischa Travers and Sarvenaz Madi, all of the Menlo Park office. The NASD team included counsel Marcie A. Goldstein and legal assistant Peggy Ann Petercsak of the New York office. Karla K. Rogers of the Menlo Park office was the legal assistant on the transaction.

Century Aluminum Common Stock Offering
Davis Polk & Wardwell advised Credit Suisse Securities (USA) LLC and Morgan Stanley & Co. Incorporated as global coordinators on an approximately $380 million SEC-registered offering of 7,250,000 shares of common stock of Century Aluminum Company. A portion of the shares of common stock in the offering were sold to institutional investors in Iceland and issued in the form of Global Depositary Receipts. Century Aluminum will use the proceeds from the offering for debt reduction and partial funding for the construction of a greenfield aluminum smelter near Helguvik, Iceland. The shares are listed on the Nasdaq Global Stock Market and the GDRs are listed on the First North Iceland market.

Based in Monterey, California, Century Aluminum is the third-largest primary aluminum producer in the United States, having produced approximately 680,000 metric tons in 2006.

Weil Gotshal Named Among Top Ten Best Corporate Law Firms in America
Corporate Board Member magazine and FTI Consulting, a global business advisory firm, released their seventh annual list of the best corporate law firms in America, ranking Weil, Gotshal & Manges among the top ten. The publication identifies the top 20 law firms nationally as selected by directors of publicly traded companies listed with the NASDAQ Stock Market, New York Stock Exchange, or American Stock Exchange. The survey, which was conducted among 802 directors and 235 general counsel, included several questions asking directors and general counsel to weigh in on important legal issues. According to William S. Rukeyser, editorial director of Corporate Board Member, law firms strive to do well on the survey because it is “an accolade from their customers - the directors, executives and general counsel who hire them, pay their bills, and thrive or suffer from their advice.” Corporate Board Member is a leading publication for senior officers and directors of publicly traded corporations, large private companies, and Global 1000 firms.

In the article announcing the recognitions, Weil Gotshal and members of its Washington, DC office were featured in a discussion of the importance of diversity to corporate clients, and the firm's policies and achievements in this area.
