Simpson Thacher Represents J.P. Morgan Securities Inc. and Merrill Lynch & Co., Financial Advisors to Freeport-McMoRan Copper and Gold Inc. in its Proposed $25.9 Billion Acquisition of Phelps Dodge Corp.
The Firm represents J.P. Morgan Securities Inc. and Merrill Lynch & Co. as the financial advisors to Freeport-McMoRan Copper and Gold Inc. in its proposed acquisition of Phelps Dodge Corporation, in a cash-and-stock deal worth $25.9 billion. The transaction would create the world’s largest copper producer and the largest mining company based in North America.

Freeport-McMoRan Copper and Gold Inc. is one of the world’s largest producers of copper and gold. Phelps Dodge Corporation is the world’s second-largest copper producer.

Gioconda joins DLA Piper's Intellectual Property practice in New York
DLA Piper US LLP announced that Joseph C. Gioconda has joined the firm's Intellectual Property practice group as a partner in the firm's New York office. He comes to DLA Piper from Kirkland & Ellis.

Gioconda focuses his practice on litigating and counseling in the areas of anti-counterfeiting, trademarks and trade dress, domain name protection, copyrights, unfair competition and false advertising.

He has represented a wide variety of high-profile clients in the entertainment and fashion industries and has successfully litigated cases in many federal and state courts throughout the nation. He has also handled matters before the U.S. Patent and Trademark Office.

"Joe is an aggressive and highly respected trademark litigator who has developed a successful practice representing luxury goods manufacturers," said Ann K. Ford, chair of DLA Piper's Trademark, Copyright and Media practice group. "We believe he will contribute greatly to the continued growth of the IP litigation practice in New York and provide us with excellent new business opportunities both in the U.S. and internationally for brand-name IP and anti-counterfeiting litigation work."

Gioconda has experience drafting IP legislation for the U.S. Senate Judiciary Committee, providing clients valuable insight into this area of law. The experience he gained in his service in the U.S. attorney's office in the Southern District of New York enables him to work closely with federal and local government officials and law enforcement agencies to achieve the seizure and destruction of articles that infringe his client's rights.

Gioconda earned a J.D. from Yale Law School and a B.A. magna cum laude from the State University of New York at Stony Brook.

A frequent lecturer and commentator on trademark issues, Gioconda is active in the International Trademark Association (INTA). On a pro bono basis, he also represents struggling actors and artists through the Volunteer Lawyers for the Arts.

DLA Piper's Trademark Litigation group, in an alliance with other attorneys in complementary practices, handles trademark, trade dress, misappropriation, trade secret and unfair competition cases, including Lanham Act challenges before federal and state courts as well as the U.S. Patent and Trademark Office Trademark Trial and Appeal Board.

The firm's intellectual property practice offers clients comprehensive IP services, including patent, trademark and copyright litigation, patent prosecution, IP due diligence and strategic IP asset management. The firm has more than 425 IP attorneys globally and 220 IP attorneys in the U.S., ranking the group among the world's largest IP practices. In the U.S. alone, DLA Piper's Patent Litigation practice includes more than 80 lawyers. The firm has handled more than 150 patent cases in U.S. district courts and the ITC over the past three years.

Partner appointed to develop real estate practice in Dubai
DLA Piper has appointed real estate partner, Tom O'Grady, to head the real estate practice in Dubai. Tom joins DLA Piper from SJ Berwin and will relocate to the Dubai office from London in order to build the real estate practice as part of the firm's ongoing expansion across the Gulf and the Middle East.

Tom's experience spans a career of 25 years in Ireland and the UK. He brings with him a wealth of commercial real estate experience, particularly major development and funding vehicles, and institutional investments, together with complex tax planning and structuring. He will work closely with Jayshree Gupta, who heads the office in Dubai, in order to target global real estate developers, investors and global retailers in the region and build a strong team.

Miller Canfield Attorney Michael Traison Speaks on Economic Relations between USA and Poland
Miller, Canfield, Paddock and Stone, P.L.C. attorney Michael H. Traison recently participated in a panel discussion on the “Bilateral Economic Relations Between the USA and Poland” at the campus of Northeastern Illinois University (NEIU). The business conference, called “Poland and the United States: Economic Partners for the Future,” celebrated the Warsaw School of Economics’ 100th Anniversary and its partnership with NEIU.

Traison is a principal whose practice is concentrated in all areas of international law, commercial law, and debtor-creditor relations, with particular emphasis on the representation of unsecured creditors, committees, trustees and debtors under Chapter 11 and out-of-court workouts. Although resident in the firm’s Detroit office, he also works out of Miller Canfield’s three offices in Poland.

He is a frequent speaker on debtor-creditor relations and corporate bankruptcy issues throughout the United States, Israel, and Poland, and has been interviewed and spoken on economic developments and political growth in Central Europe including Hungary, Poland, and the Czech Republic, as well as Israel and the Palestinian authority.

He is active in numerous professional organizations including the American Bar Association, State Bar of Michigan, Illinois State Bar Association, Federal Bar Association, International Bar Association, Detroit Metropolitan Bar Association, Oakland County Bar Association, American Arbitration Association, National Association of Credit Management, Commercial Law League of America, American Trial Lawyers’ Association, International Association/Jewish Lawyers & Jurists, American Bankruptcy Institute, State of Michigan Bilateral Trade Team for Israel, and the Association of Israeli Automotive Parts Products.

He received his law degree, magna cum laude, from the Michigan State University College of Law where he was a member of the Law Review, and a M.Ed. and Ph.B. from Wayne State University.

Miller Canfield Attorney Appointed to Board of Credit Counselling Services of Southwestern Ontario
Miller Canfield associate Angela D’Alessandro was recently appointed to the board of directors of the Credit Counselling Services of Southwestern Ontario, a not-for-profit agency providing the community with education programs about money management and budgeting.

D'Alessandro resides in Miller Canfield’s Windsor office. Her practice focuses on bankruptcy and insolvency, commercial litigation, and debtor/creditor's rights.

She is a member of the Ontario Bar Association, Essex Law Association, Essex Women Lawyers' Association, and The Advocates Society. She is an instructor of Business Law at St. Clair College; is the vice president of Victims for Justice; and volunteers on the Government Relations Committee of the Windsor & District Chamber of Commerce.

Her LL.B. in 2003 and Honours B.A. in 2000, with a major in Criminology, are from the University of Windsor. She received a Certificate in 2001 from the Salzburg Law School Summer Program in International Criminal Law, International Humanitarian Law, and Human Rights Law.

Miller Canfield Attorney Becomes Member of Minorities in Franchising Committee of IFA
The law firm of Miller Canfield announces that Freeman L. Farrow, M.D., a principal in the Detroit office, has become a member of the Minorities in Franchising Committee of the International Franchise Association (IFA). In addition, he is a member of the Diversity Summit Planning Committee of the Minorities in Franchising Committee, which will be participating in the IFA’s 47th Annual Convention in February in Las Vegas.

The mission of the IFA’s Minorities in Franchising Committee is to increase the number and success of minorities in franchising, including franchisors, franchisees, suppliers and employees. The committee provides educational information and programs to IFA members and prospective minority franchisees and participates in outreach activities to increase the awareness of franchising in minority communities.

Farrow is a member of Miller Canfield’s Litigation and Dispute Resolution Practice Group as well as the Franchise Law Team.

He is a member of the American Bar Association, Federal Bar Association, State Bar of Michigan, Oakland County Bar Association, where he is chair of the New Lawyers’ Committee, board member of the Child Abuse and Neglect Council of Oakland County, a board member of the International School, Farmington Hills, Michigan. Since 1994, he has been an urgent visit physician with Michigan's Emergency Physicians Medical Group, working in the St. Joseph Mercy Hospital system in Ann Arbor, Michigan.

Farrow received his law degree from the University of Michigan Law School in 1997; he is a 1990 Diplomate of the St. Clare's Hospital Family Practice Residency Program in Schenectady, New York; and earned his M.D. in 1987 from the University of Massachusetts Medical School; and a B.A. in Chemistry from Amherst College in 1983.

London Office Advises Senior Management of The Stationery Office on its Sale to Williams Lea Group
The London office of McDermott Will & Emery advised the senior management of The Stationery Office Holdings Limited (TSO) in connection with its acquisition, led by Apax Partners, by Williams Lea Group Limited, a Deutsche Post AG group company.

TSO is a key provider of document and publishing services to the public sector with clients including UK government departments, government agencies, non-departmental public bodies and private sector businesses. Williams Lea is a global corporate information solutions provider.

The sale is expected to complete within eight weeks, subject to, inter alia, satisfactory competition clearance.

The multi-disciplinary team was led by head of London corporate, William Charnley, assisted by corporate associates Victoria MacLeod and Linda Whittle. Intellectual property advice was provided by Rohan Massey and Clare Sellars, while the pensions and employment aspects of the acquisition were handled by Comron Rowe, Sharon Tan and Louise Waldron. James Ross advised on the tax aspects.
