Kramer Levin Represents Investment Management Company in Recent Merger
Kramer Levin represented Brencourt Associates, an investment management firm that resisted the initial merger agreement entered into by Vertrue Inc. with a consortium of private equity firms led by One Equity Partners. The original merger agreement was announced on March 22, 2007, and called for a cash acquisition at $48.50/share (approximately $800 million). Brencourt publicly objected to the deal on the basis of its low valuation and accumulated 28% of the outstanding stock in order to block the shareholder vote scheduled for July 12. The meeting was adjourned to permit a negotiated settlement, which resulted on July 19 in the price being raised to $50/share and Brencourt being given the opportunity to purchase a minority interest in the buyout group. Kramer Levin lawyers involved were Tom Balliett, Abbe Dienstag, Barry Herzog and Rebecca Porath.

Deal King & Spalding Advised On Named To Canada’s Top 10 List
The $6 billion purchase of Novelis, Inc. by Hindalco Industries Ltd., announced last February, ranks as one of the top 10 deals in Canada in the first half of 2007, according to The Globe and Mail. King & Spalding was adviser to Novelis.

The deal ranked seventh on The Globe and Mail’s list.

The combination of Hindalco, India’s largest non-ferrous metals company, and Toronto-based Novelis, a global leader in aluminum rolled products and aluminum can recycling, creates the world’s largest aluminum rolling company.

The King & Spalding legal team advising Novelis was led by partners John J. Kelley III and C. William Baxley.

Katten Muchin Rosenman Announces Recipients of Eighth Annual Pro Bono Service Awards
Katten Muchin Rosenman LLP is pleased to announce that it has selected seven attorneys to receive its top honor for pro bono service. This year’s recipients of the Firm’s eighth annual Pro Bono Service Awards are Chicago-based Litigation and Dispute Resolution partner, Michael J. Summerhill, and associate Heather Kuhn O' Toole; New York-based Private Equity partner Mark A. Limardo, and Bankruptcy, Reorganization and Creditors’ Rights associate Merritt A. Pardini; Los Angeles-based Litigation and Dispute Resolution associate Tiffany Hofeldt, and Trusts and Estates associate Boryana V. Zeitz; and Washington-based Real Estate associate, Sandra Z. Paik. In addition, New York-based Real Estate associate Michal Kushnir and secretary, Vivien E. Lewis will receive honorable mention for their commitment to pro bono service

This year’s Pro Bono Service Awards will be presented during ceremonies in each recipient’s office location between July 19 and July 25. Three distinguished jurists will present the awards: In Chicago, the Honorable Milton I. Shadur of the U.S. District Court for the Northern District of Illinois; in New York, the Honorable Harold Baer, Jr. of the U.S. District Court for the Southern District of New York; and in Los Angeles, the Honorable Aviva K. Bobb of the Los Angeles County Superior Court. In addition, Brian H. Corcoran, Pro Bono Committee chair of Katten’s Washington office, will present the award in that location.

“The 2007 recipients we are honoring have made valuable contributions to charitable and non-profit causes across the country,” said Vincent A. F. Sergi, Katten’s National Managing Partner. “Each recipient embodies the Firm's long-standing commitment to provide first-rate representation without charge to those who otherwise wouldn’t be able to obtain legal services.” The Pro Bono Service Awards include a $1,000 honorarium which each recipient will donate to a charity of their choice. Minneapolis Office Expands
Hinshaw & Culbertson LLP today announced that respected Twin Cities business and real estate attorneys Thomas Wallrich and Steven Stilton joined its Minneapolis office as partners.

Silton and Wallrich were both previously named SuperLawyers by Minnesota Law and Politics Magazine, and Wallrich has been consistently named a top-bankruptcy attorney in Minnesota.

Silton and Wallrich are joined by attorneys Kristi Zentner, Jamie Pierce, Heather Marx, Peter Crema, Joel Nesset, and four additional legal professionals. All of the attorneys and legal professionals previously made up the majority of the business practice group at Mansfield Tanick & Cohen.

“Tom, Steve and their colleagues are highly regarded attorneys and legal professionals. Godfrey & Kahn Adds Attorney to Corporate Practice Group
The law firm of Godfrey & Kahn, S.C. is pleased to announce that Joseph N. Wolfe has joined the Corporate Practice Group in the firm’s Waukesha office. His practice will primarily focus on mergers and acquisitions as well as general corporate matters.

Prior to joining the firm, Wolfe served as a Combat Engineer Officer for nine years in the Wisconsin Army National Guard where he spent time in Nicaragua, Kuwait and Iraq.

Wolfe received his law degree from the University of Wisconsin Law School and his undergraduate degree in political science from the University of Wisconsin – Madison.

Robinson re-elected Secretary-Treasurer of Tri-ED Board
Frost Brown Todd LLC, one of the region’s largest full-service law firms, is pleased to announce that Wm. T. “Bill” Robinson III, Member-in-Charge of the Firm’s Northern Kentucky office and an attorney in the Firm’s litigation practice, has been re-elected to serve as Secretary-Treasurer of the Tri-County Economic Development Corporation (Tri-ED) board of directors.

Robinson began service with Tri-ED as a founding board member in 1987 and has continuously served as Secretary-Treasurer since that time. In addition, Robinson was recently appointed by Kentucky Governor Ernie Fletcher to serve a four year term on the Board of the Kentucky Partnership for Economic Development.

Robinson is a member of FBT’s litigation department and a member of the Firm’s management team. Robinson Chairs the Firm’s Strategic Planning and Expansion Committee, where he is developing and implementing a plan to expand the Firm’s presence in the region by growing current offices and expanding into new geographic locations.

Northern Kentucky Tri-ED markets and promotes the three Northern Kentucky counties on a national and international basis, as a location for new or expanding advanced manufacturing projects, professional office projects, and technology oriented cluster. Fox Rothschild Continues Growth in New York
Fox Rothschild LLP welcomes Carolyn D. Richmond, Esq. as a Partner in its Labor and Employment department and as co-chair of the firm’s Hospitality Practice Group. Richmond’s practice consists of representing and counseling clients in the hospitality industry, as well as the financial services, retail, and manufacturing sectors on a variety of labor and employment matters. In particular, Richmond has extensive experience in matters including wage and hour issues, restrictive covenants, independent contractor status, EEO discrimination claims, employee handbooks and the hiring process, diversity awareness training, union avoidance, and e-workplace issues such as privacy and surveillance.

Richmond has previous experience as lead counsel in several wage and hour class action lawsuits against hospitality employers. In addition, she was lead counsel in the successful defense of discrimination lawsuits for employers as diverse as a leading hotel operator and financial institution. Richmond also served as General Counsel to B.R. Guest Restaurants & James Hotels, where she was responsible for the legal and business affairs for both expanding restaurant operations and the development of James Hotel properties.

Richmond earned her J.D. from New York Law School and her B.S. from Cornell University, School of Industrial and Labor Relations. She is admitted to practice law in New York and New Jersey, as well as before the U.S. District Court in the Southern, Eastern and Northern Districts of New York and the District of New Jersey. She is a prolific writer and often is a guest speaker to the hospitality industry on various labor and employment-related topics. She also serves as an appointed Board Member of the New York City Chapter of the New York State Restaurant Association, and is a member of the Alumni Board of Directors for Cornell University, School of Industrial and Labor Relations. Richmond’s honors and awards include the New York Law School’s Law Review Outstanding Service Award and American Jurisprudence Award.
