Lindquist & Vennum Among Top Five Corporate Law Firms in Minneapolis
For the fifth consecutive year, Lindquist & Vennum has been named to Corporate Board Member magazine's list of top five corporate law firms in Minneapolis.

Corporate Board Member surveys nearly 1,000 directors of publicly traded companies to identify the top 20 national corporate law firms, as well as the five top-ranked firms in 25 major metropolitan areas.

Lamb McErlane Launches Affiliation with Reardon & Associates, LLC Association Provides for Enhanced Estate Law Offerings
Lamb McErlane, PC, a full-service law firm in West Chester since 1948, announced today an affiliation with Reardon & Associates, LLC, a boutique law firm in Wayne that focuses its practice in trusts, estates and business tax planning The new business affiliation allows both firms to provide additional levels of client service within a shared culture of personal attention.

Reardon is a recognized authority on tax and estate planning and has spoken on these subjects to dozens of professional organizations across the United States. He contributes a regular column on estate planning to the Journal of Financial Service Professionals and he has written articles about tax and benefit planning for various professional publications. A graduate of Western New England College’s School of Law with a Master of Laws in Taxation from Temple University, Reardon is a Fellow of the American College of Trust and Estate Counsel. He is the author of Working with S-Corporations, a book devoted to estate, business and benefit planning concepts that are of interest to professional advisors.

GARDERE GEARHEADS EARN PAIR OF MS 150 HONORS FROM LONE STAR CHAPTER OF MS SOCIETY
In its second year, Gardere Wynne Sewell LLP’s Dallas cycling team “The Gearheads” has earned two awards from the Lone Star Chapter of the National Multiple Sclerosis Society in recognition of its efforts in the recent Sam’s Club MS 150.

The 153-member Gearheads were honored during the event awards party held recently at Lone Star Park as the veteran team with the most growth. The Gearheads more than doubled in size since fielding its inaugural 70-member team in 2006. The team also was recognized as the team with the most improved fundraising. The Gearheads raised more than $108,000 during the May 5-6 ride. In 2006, the team raised nearly $43,000.

“The Gearheads have show a tremendous amount of support for this very worthwhile event, and their dedication to improving on last year’s participation and fundraising efforts should be commended,” said Steve Good, managing partner for Gardere. “The MS 150s allow our attorneys a chance to support a cause they care about while giving them a unique way to interact with clients and other friends during the course of a two-day bike tour.”

In addition to the 153 Gearheads who rode from Frisco’s Rough Riders Stadium to Fort Worth’s Sundance Square, a second firm-sponsored group, “Team Gardere” riders participated in the BP MS 150 Bike Tour from Houston to Austin on April 21-22.

The two teams combined to raise nearly $233,000 for MS research in 2007 and have raised nearly $1 million for MS research over the past six years.

Gardere’s involvement with the MS Society began as a way to show support for one of its own, John Pearson, a partner in the firm’s Houston office and former board chair for the Lone Star Chapter, who lives with MS. He rides in several MS 150 events each year, including both the
Houston and Dallas events this year.

Doral Financial in $625 Million Recapitalization
Cleary Gottlieb advised Doral Financial, a Puerto Rico-based bank holding company, in a recapitalization transaction to refinance the company’s $625 million notes due July 20, 2007. The transaction was completed on July 19, 2007.

The recapitalization transaction entailed an equity investment of $610 million in Doral by a newly formed bank holding company in which, among other investors, Bear Stearns Merchant Banking and funds managed by Marathon Asset Management, Perry Capital, the D. E. Shaw group, Tennenbaum Capital Partners, Eton Park Capital Management, Goldman Sachs, Canyon Capital Advisors and GE Asset Management invested. The transaction, which received significant press coverage as one of the first controlling investments by private equity firms in the U.S. banking sector, was announced on May 15.

Cleary Gottlieb also represented Doral Financial in connection with the various lawsuits and investigations initiated following Doral's announcement of the need to restate the company’s financial statements in April 2005, successfully concluding a settlement with the SEC in September 2006 and an omnibus settlement of securities class action and shareholder derivative litigation that received final court approval on July 17, 2007.

Consortium of Investors in $11.4 Billion Acquisition of Biomet, Inc.
Cleary Gottlieb is currently representing a consortium of private equity investors including the Blackstone Group, Goldman Sachs Capital Partners, Kohlberg Kravis Roberts & Co., and Texas Pacific Group in connection with the $11.4 billion leveraged acquisition of Biomet, Inc. The acquisition was announced on December 18th.

Biomet is an Indiana-based company that designs, manufactures and markets orthopedic devices such as artificial knees and hips.

Yamana Gold files US$3.2 billion unsolicited takeover offer for Meridian Gold
Torys is representing BMO Capital Markets in Canada and the United States with a team that includes Kevin Morris and Andrew Beck.

Yamana Gold Inc. (TSX: YRI, NYSE: AUY, LSE(AIM):YAU) filed a US$3.2 billion unsolicited takeover bid for Meridian Gold Inc. (TSX: MNG, NYSE: MDG). Yamana's bid is conditional on the successful completion of its pre-existing offer for Canadian gold miner Northern Orion Resources Inc. (TSX: NNO.TO, AMEX: NTO). Goldman Sachs and BMO Capital Markets are Meridian's co-advisers in responding to Yamana's unsolicited offer and in considering alternatives.

Yamana Gold, based in Toronto, is a leading intermediate Canadian gold mining company with gold production, development and exploration properties in Brazil, Central America and Argentina. Meridian Gold, based in Reno, is a mid-tier gold producer with mining operations in Nevada and Chile.

The conference will cover the following:

This workshop will cover the entire range of Hawaii EIS Law/NEPA compliance processes, from projects that trigger review and exemption determinations through the preparation notice, environmental assessment, FONSI, EIS and judicial review. In recognition of the interdisciplinary nature of Hawaii EIS Law/NEPA compliance teams, the respective roles of lawyers, environmental professionals and governmental officials will be a pervasive theme, as will similarities and differences between Hawaii EIS Law and NEPA.

The program will offer a nuts-and-bolts approach to compliance with the law and will be oriented to new developments in the field and changes in the law, including environmental justice initiatives and recent litigation.
