Many of our hospital clients are experiencing specific types of payment problems with PacifiCare that we wish to bring to your attention. In light of the issues described below, we encourage you to review your accounts receivable and contracts.

Medical Bill Review
PacifiCare has recently instituted a program - called Medical Bill Review -- to disallow and deny certain charges in order to reduce the claim below the stop loss threshold or to reduce the stop loss payment. Rather than amend its contracts with providers, PacifiCare has unilaterally changed the manner in which claims are reimbursed under its hospital contracts. Like other health plans, PacifiCare is improperly attempting to apply Medicare guidelines to deny these charges. We have been successful in having these charges paid in numerous arbitrations. 

Implants
It has come to our attention that PacifiCare is denying payment for certain types of implants by improperly applying a narrow definition as to what constitutes an implant. Many hospital contracts do not define what items constitute an implant. PacifiCare's definition of what constitutes an implant is much narrower than the UB-92 Manual definition of an implant. We believe it is improper for PacifiCare to unilaterally adopt a narrow definition of implants without defining that term in the contract. Our firm has been successful in litigating this issue in a number of arbitrations.

Most Favored Nation Provisions
In many new contracts, PacifiCare and United Healthcare (&quot;UHC&quot;) are requiring hospitals to ensure that the rates PacifiCare/UHC negotiates with the hospital are as low as the lowest rates in the hospital's contracts with other health plans. PacifiCare/UHC is also insisting that the hospital agree that a third party auditor review all of the hospital's contracts and claims to ensure that PacifiCare/UHC is receiving the lowest rates. We believe that this practice is improper for a number of reasons: 

First, such a practice may require the hospital to breach the confidentiality provisions of its contracts with other health plans. PacifiCare certainly would not want its contract rates to be disclosed to other health plans. 
Second, there may be HIPAA issues if PacifiCare's auditor were to review claims relating to other health plans. 
Third, the practice may be anti-competitive or otherwise constitute unfair business practices. PacifiCare certainly would not disclose the rates it pays other hospitals, or agree to a provision that states that it will pay the hospital the highest rate it pays other hospitals in the area. 
Fourth, the rates that hospitals negotiate with different health plans depend in large part on volume and utilization of services.</News:newsheading>

On August 17, Hi-Media signed an agreement to buy Fotolog Inc. The company has more than 15 million visitors a month to its photo sharing site Fotolog.com. This transaction will bring together one of the largest global audiences with a specialist in online revenue generation.

The deal is subject to the approval of Hi-Media's shareholders, who will assemble for an extraordinary general meeting. If they agree, the deal should happen by the end of November.

The Daily Journals selected California's Top Women Litigators based on a number of criteria, including nominations from lawyers throughout the state, a review of the nominee's work throughout the last year, demonstrated leadership within their firm, involvement in the legal community, endorsements from their peers and overall career accomplishments.

Mrs. Byrd has been involved in numerous precedent-setting cases, including TiVo Inc. v. EchoStar Communications Corp. and Immersion Corp. v. Sony Computer Entertainment. Her recent victory in the TiVo Inc. case was one of the most closely watched intellectual property contests in the entertainment industry. Mrs. Byrd helped secure a $74 million verdict on behalf of TiVo Inc., the pioneer of video recorders, for patent infringement of DVR technology. The award now stands at $94 million with interest and supplemental damages, and the verdict has been identified as a "Top 100 of 2006" by VerdictSearch.

In addition to the two huge trials for TiVo and Immersion, Mrs. Byrd served as arbitrator in six lengthy arbitration hearings and successfully defended an executive of a non-profit corporation against claims of accounting irregularities, resulting in a decision by the prosecutor not to bring any charges. She has spoken at many seminars and conferences, as well as published an article on the application of Federal Rule of Evidence 703 to the market and industry data necessary for proof of patent infringement damages. Her 30-year career also includes a five-year stint as a criminal prosecutor in the U.S. Attorney's Office in Los Angeles, where she honed her trial skills.

In recognition of her achievements, Mrs. Byrd was elected a Fellow of the American College of Trial Lawyers in 2004. With membership limited to one percent of a state's total lawyer population, Mrs. Byrd is one of only 20 women litigators from California included among the 466 Fellows chosen from the state. Mrs. Byrd has been involved in numerous precedent-setting cases, including TiVo Inc. v. EchoStar Communications Corp. and Immersion Corp. v. Sony Computer Entertainment. Her recent victory in the TiVo Inc. case was one of the most closely watched intellectual property contests in the entertainment industry. Mrs. Byrd helped secure a $74 million verdict on behalf of TiVo Inc., the pioneer of video recorders, for patent infringement of DVR technology. The award now stands at $94 million with interest and supplemental damages, and the verdict has been identified as a "Top 100 of 2006" by VerdictSearch.

In addition to the two huge trials for TiVo and Immersion, Mrs. Byrd served as arbitrator in six lengthy arbitration hearings and successfully defended an executive of a non-profit corporation against claims of accounting irregularities, resulting in a decision by the prosecutor not to bring any charges. She has spoken at many seminars and conferences, as well as published an article on the application of Federal Rule of Evidence 703 to the market and industry data necessary for proof of patent infringement damages. Her 30-year career also includes a five-year stint as a criminal prosecutor in the U.S. Attorney's Office in Los Angeles, where she honed her trial skills.

Under the settlement, Nellcor paid Masimo $265 million for damages through January 31, 2006. In addition, Nellcor made an advance royalty payment of $65 million related to sales of Nellcor's new products during the remainder of calendar year 2006. After January 31, 2006, Nellcor will no longer ship its oximeters that were found to infringe in the lawsuit, but will continue to provide service and sensors for previously sold products. Finally, Masimo has granted Nellcor the right to sell Nellcor's new line of pulse oximetry products in exchange for an on-going royalty. 

The litigation involved patents on oximeters, which are widely used medical devices that allow clinicians to obtain oxygen saturation and pulse rate values. In March 2004, a Los Angeles jury had found that Nellcor infringed the patents and awarded Masimo $134 million for the infringements made through 2003. In September 2005, the U.S. Court of Appeals for the Federal Circuit in Washington, D.C., affirmed that infringement finding as well as a judgment for $164.5 million, an amount which included infringements through May 2004. The appellate court also instructed the trial court to enter a permanent injunction against Nellcor. Lawyers at Knobbe Martens obtained the patents for Masimo and also handled both the trial and the appeal.
